Later on it talks about: "Ferma restando la facoltà alternativa" and "l'accordo attribuisce la facoltà alternativa", "XXX intende avvalersi di tale facoltà alternativa" etc.
I understand what it means but I don't know if there is a correct term for it in English. I looked at alternative entitlement but I don't think that's it.

Not really sure on this one, but it seems to be used.
This is from the IRS:
In addition to the problem of alternative rights, the purported qualified stock option and the nonstatutory stock option in Revenue Ruling 69-428 and Revenue Ruling 71-81, in substance, constitute a single option which, at the time of grant, is exercisable for a period exceeding 5 years and, therefore, fails to satisfy the requirement of section 422(b)(3) of the Code.
