Hi folks
I'm having trouble understanding the concept here. Pippo is
hiving off an area of its business (a profitable one at that) for some reason that escapes me, but they seem to be retaining an interest in it (or perhaps they're retaining the whole thing and are just divesting it to escape the taxman). In this context (and any other context come to that) I can't figure out what they mean about the loan replayment clause at the end of the excerpt.

"L’accordo prevede che PIPPO investa nella newco, che effettuerà l’acquisizione, 12,5 milioni di euro pari al 17,3% del capitale della newco stessa. Inoltre PIPPO effettuerà un finanziamento di 10 milioni di euro alla newco con interessi capitalizzati calcolati ad un tasso pari all’Euribor maggiorato di uno spread di 5,125 punti percentuali; il finanziamento sarà rimborsabile al momento del realizzo dell’investimento da parte dei ***fondi acquirenti***.

It appears that the buyers are funds, probably a private equity fund. Pippo invests 12.5 mil for 17.3% of the newco and loans another 10 mil to the same newco. The newco will be the investment vehicle used to acquire business unit. Once the fund (private equity) enters the picture the loan will become due.

Thats my take....hope it helps.
