Termination without Default
Either of us may end this Agreement by notifying the other at least xxx days in advance and specifying the termination date. COMPANY may also terminate this Agreement upon XXX days’ prior notice if Supplier experiences a significant change of ownership or control. If COMPANY stops marketing or selling a Product for any reason, it has the further right to terminate this Agreement upon XXX days’ prior notice.

Explanation:

Aunque decir "cancelación o terminación o rescisión ***sin incumplimiento**** es una traducción literal del término, no suena muy bien español y tiene sabor a calco, EMHO.

Yo diría simplemente "derecho de cancelación", por cuanto la cláusula respectiva regula este derecho estableciendo las normas de notificación previa, etc.

Cláusula de Cancelación
El derecho de cancelación estipulado más abajo no se aplica a las compras realizadas para la propia actividad comercial del cliente o actividad comercial. El derecho de cancelación se aplica exclusivamente a ordenes de compra realizadas a través de tecnologías de telecomunicación tales como el teléfono, Internet, carta o correo electrónico.

Derecho de cancelación: algunas veces sucede que los productos pedidos no cumplen los requerimientos del cliente. Los clientes pueden cancelar los pedidos sin indicar el motivo dentro de los 14 días, ya sea por escrito (por ejemplo carta, fax, correo electrónico) o devolviendo el producto en cuestión. El periodo de 14 días comienza una vez recibido el producto y notificado los términos y condiciones de la cancelación. El cliente deberá mandar una petición de cancelación por escrito o devolver la mercancía en referencia dentro del periodo de los 14 días.
