Source text - English . In the event of change in the controlling ownership of LICENSOR or of LICENSEE, or in the event of a sale of all or substantially part of the assets of LICENSOR or of LICENSEE, the acquiring third party of such controlling interest or assets shall have the right to terminate this Agreement, upon one year prior written notice to the other party, whether the LICENSEE or LICENSOR, as the case may be. However, such other party shall have the right to terminate this Agreement immediately, by noticing to LICENSEE or LICENSOR, as the case may be, whether judicial or extra-judicial.
Translation - Spanish En el supuesto de cambio de control accionarial del LICENCIANTARIO o del LICENCIANTE, o en el caso de que se produzca una venta de todo o de una parte substancial del activo del LICENCIATARIO o del LICENCIANTE, el tercero que adquiera ese control o activo tendrá derecho a rescindir este Contrato, mediante previo aviso por escrito, con un (1) año de antelación, dirigido a la otra parte, tanto si se trata del LICENCIANTE como si es el LICENCIATARIO. No obstante, esta parte tendrá derecho a rescindir este Contrato inmediatamente, mediante notificación al LICENCIANTE o al LICENCIATARIO, según corresponda, sea ésta judicial o extrajudicial.
