INCENTIVE UNIT AWARD AGREEMENT
Z LP Incentive Unit Plan

The LP hereby grants to the Participant an Award (the “Award”) of Incentive Units (the
“Incentive Units”) on the terms and conditions as set forth in this Award Agreement and in the
LP’s Incentive Unit Plan (the “Plan”).

In accordance with this Award, and as a condition thereto, the LP and the Participant
agree as follows:
. Per Incentive Unit Threshold; Number of Incentive Units; Date of Grant. The Unit
Threshold, the number of Incentive Units subject to this Award, the number of ***Time-Vesting
Incentive Units*** and Performance-Vesting Incentive Units underlying this Award (each as defined
in Exhibit A) and the date of grant of this Award (the “Grant Date”) are as set forth in Exhibit A
to this Award Agreement.
