Here's some context (it is a commercial agreement):
Each of the Borrower and XXXXX (the "Off-taker") hereby acknowledges and agrees as that:
(i) effective as of the date hereof, the Borrower will grant a first priority security interest to the Collateral Agent, on behalf of and for the benefit of the Secured Parties, in all of its rights to receive payments arising from any sale on or after the date hereof of any products to the Off-taker, pursuant to the terms of which the first payment by the Off-taker to the Borrower is scheduled to be made on or after June 7, 2008;
(ii) unless otherwise instructed in writing by the Collateral Agent, all payments made or required to be made by the Off-taker or on behalf of the Off-taker in respect of any products or services purchased, directly or indirectly, from the Borrower or any of its respective affiliates on and after June 7, 2008 (the "Payment Obligations") shall be made directly to the Collateral Agent as follows:

Gli "Off take Contracts" sono particolari contratti di compravendita, con cui l'acquirente (off taker) si
impegna ad acquistare una quantità prestabilita del prodotto, per un certo numero di anni, ad un prezzo
prestabilito.
La funzione degli off take contracts è quella di assicurare anticipatamente la vendita di almeno una
parte del prodotto ad un prezzo noto in anticipo, pone ndo la p.c. al riparo dalle turbolenze del mercato.
Esistono due diverse categorie di off take contracts chiamate rispettivamente "take and pay" e "take or
pay".
