Chaque réclamation ou série de réclamations faite à raison de perte ou dommages provenant d'un seul et même fait ou événement sera réglée séparément et du montant de chaque réclamation ainsi réglée sera déduite la franchise prévue au Schéma. Cette franchise déductible ne sera toutefois pas appliquée en cas de sinis¬tre occasionné par: Incendie, foudre, explosion, dégâts causés par le aéronefs, et les risques élémentaires spécifiés dans la formule type de la police suisse "Incendie".
CONTRIBUTION
La présente assurance est basée sur la valeur intégrale des biens assurés - sauf s'il est expressément convenu, et précisé au Schéma, qu'il s'agit d'une assurance au Premier Risque.
En cas d'assurance de la valeur intégrale, si, au jour du sinistre, la valeur des biens assurés en vertu de la présente police dépasse le montant de la Somme Assurée, alors l'Assuré ne pourra récupérer, en vertu de ladite police, qu'une proportion dudit sinistre, égale à la proportion que représente la somme assurée par rapport à la valeur totale desdits biens.
En cas d'assurance au Premier Risque, le sinistre sera réglé jusqu'a concurrence de la Somme Assurée, sans qu'il soit tenu compte de la valeur totale des biens
Translation - English CLAUSE concerning the COVERAGE AFFORDED
Subject to the clauses, conditions and exclusions which follow, this policy covers the property of the insured - as set forth in the Schedule attached hereto (hereinafter referred to as "the Schedule") - against ALL RISKS of LOSS or MATERIAL DAMAGE occurring during the period of the said policy as specified in the Schedule.
SUM INSURED
The liability of the Insurers for each and every insured loss shall not exceed the Sum Insured provided for in the Schedule.
DEDUCTIBLE
Each claim or series of claims made by reason of loss or damage arising from one and the same occurrence or event will be adjusted separately and the deductible provided for in the Schedule will be deducted from the amount of each claim so adjusted. This deductible will not however be applied in case of an insured loss occasioned by: Fire, lightning, explosion, damage caused by aircraft, and the natural perils specified in the standard wording of a Swiss "Fire" policy.
COINSURANCE
This insurance is based on the whole value of the insured property, unless it is expressly agreed, and so stated in the Schedule, that this concerns insurance on a first loss basis.
In the case of whole value insurance, if on the date of the insured loss the value of the property insured under this policy exceeds the amount of the Sum Insured, then the Insured could only recover under the said policy a proportion of the said insured loss equal to the proportion of the total value of the said property represented by the sum insured.
In the case of insurance on a first loss basis, the insured loss will be adjusted up to the limit of the Sum Insured, without taking into account the total value of the property.

The Insured Person and whoever else seeks indemnity must do all that is reasonably possible to maintain the insured vehicle(s) in good order and must contribute towards and do everything possible to prevent and/or lessen the consequences of an event not excluded under this insurance.
II) AUTOMATIC REINSTATEMENT
In case of loss of damage, there is provision for one automatic reinstatement of the sums insured, subject to a pro rata additional premium.
III. MAKING CLAIMS
Whoever seeks indemnity must refrain from admitting liability or fault or from promising or offering any payment without the prior written consent of the Insurers. The Insured Person or his legal representatives must provide the Insurers with immediate written notice of any incident, loss or damage. The Insurers must moreover be immediately notified of the dispatch or receipt of any letter, claim for damages, warrant, writ or other civil or criminal process or prosecution in progress arising from or in connection with such incident, loss or damage.
IV) SETTLEMENT OF CLAIMS
The maximum amount which may be indemnified by the Insurers in case of the total loss or destruction of the insured vehicle as the result of an event which is not excluded under this insurance will be the value agreed in respect of that vehicle, as indicated in Annex I. In case of partial loss or damage to the insured vehicle, the maximum amount payable will be the cost of the repairs and restoration, however under no circumstances may the liability of the Insurers exceed the value agreed in respect of that vehicle.

1.8. Insured loss

den Ankauf bestehender Forderungen
zwischen
- im folgenden „Verkäufer“ genannt -
und
- im folgenden „Bank“ genannt -
Präambel
Der Verkäufer steht als Zulieferer mit dem Bundesamt für Wehrtechnik und Beschaffung, Koblenz, in Geschäftsbeziehung. Er produziert im Wesentlichen pyrotechnische Erzeugnisse für die Wehrtechnik.
Die insoweit gebundenen finanziellen Mittel möchte der Verkäufer durch den regresslosen Verkauf der Forderungen refinanzieren. Die Bank ist bereit, die aus den Lieferungen und/oder Leistungen entstandenen Forderungen ganz oder teilweise anzukaufen.
Dies vorausgeschickt treffen der Verkäufer und die Bank folgende Vereinbarung:
§ 1
Kaufgegenstand
1. Die Bank erklärt sich bereit, nach Prüfung ihr von dem Verkäufer angebotene Forderungen anzukaufen. Bei den angebotenen Forderungen muss es sich um Entgelte für bereits erbrachte Lieferungen und/oder Leistungen handeln.
2. Der Ankauf erfolgt nach Andienung und unter der Voraussetzung, dass die Summe der angebotenen Forderungen je Schuldner mindestens € 500.000,00 (entspricht der Summe der einzureichenden Einzelrechnungen – brutto – pro Ankaufstermin) beträgt. Jede angebotene Einzelforderung muss eine Restlaufzeit von 30 Tagen haben.
3. Die Summe aller angekauften und noch nicht getilgten Forderungen darf den Betrag von € 900.000,-- (Rahmenforfaitierungsvolumen) nicht überschreiten.
4. Forderungen, für die der Verkäufer bereits eine Einzelwertberichtigung gebildet hat oder bilden müsste, sind vom Ankauf ausgeschlossen.
5. Die Bank ist berechtigt, Forderungen hinsichtlich bestimmter Lieferungen und/oder Leistungen oder hinsichtlich bestimmter Schuldner vom Ankauf auszuschließen.
6. Eine Verpflichtung zum Ankauf von Forderungen besteht für die Bank nicht, ebenso wenig eine Verpflichtung des Verkäufers, Forderungen anzubieten.
§ 2
Abschluss des Einzelkaufvertrages
1. Der Verkäufer bietet der Bank durch Übersendung eines Einzelkaufvertrages, welcher dem in Anlage 1 beigefügten Muster entsprechen muss, und einer Forderungsliste/Liste der offenen Positionen aus der sich die angebotenen Forderungen ergeben, Forderungen zum Ankauf an. Gleichzeitig benennt der Verkäufer die Höhe und Fälligkeit jeder einzelnen Forderung.
2. Die Bank hat das Recht, jederzeit weitere Unterlagen und Angaben über die anzukaufenden oder angekauften Forderungen zu verlangen. Sie ist zudem berechtigt, jederzeit die Herausgabe der Originalunterlagen zu verlangen oder diese bei dem Verkäufer selbst oder durch einen von ihr beauftragten Dritten einzusehen, soweit dies zur Durchsetzung ihrer Ansprüche notwendig ist.
3. Der Einzelkaufvertrag kommt mit der Zahlung des vereinbarten Kaufpreises abzüglich der Bearbeitungsgebühr auf dem in § 3 Ziffer 3 dieses Vertrages genannten Konto des Verkäufers innerhalb von zwei Wochen nach Zugang des Angebots zustande, sofern nicht bereits vorher eine schriftliche Annahme durch Rücksendung des gegengezeichneten Einzelkaufvertrages erklärt wurde. Steht dem Verkäufer innerhalb dieser Frist der Kaufpreis nicht zur Verfügung oder wird innerhalb der Frist die schriftliche Annahme nicht erklärt, so gilt das Angebot als abgelehnt.
4. Mit dem Ankauf der Forderungen übernimmt die Bank keinerlei Verpflichtungen gegenüber dem jeweiligen Schuldner aus den diesem Forderungsankauf zugrunde liegenden Verträgen oder sonstigen Vereinbarungen.
§ 3
Höhe des Kaufpreises
1. Der im Einzelkaufvertrag ausgewiesene Kaufpreis entspricht dem Barwert der anzukaufenden Forderungen auf Basis des 1-Monats-EURIBOR zzgl. einer Marge von 150 Basispunkten p.a. Er wird unter Berücksichtigung der Fälligkeiten der angekauften Forderungen sowie eines zwischen den Parteien in jedem Einzelfall gesondert zu vereinbarenden Abzinsungssatzes bestimmt.
2. Die Bank erhält pro Ankauf eine Bearbeitungsgebühr in Höhe von 1,5% des Ankaufsvolumens, mindestens EUR 10.000,--, die mit Zahlung des Kaufpreises fällig und von diesem abzuziehen ist.
3. Der Kaufpreis ist bei Ankauf der Forderungen spätestens zum im Einzelkaufvertrag angegebenen Stichtag dem Verkäufer auf dem Konto bei der Dresdner Bank Bremerhaven Konto Nr. 4 506 261 00, BLZ 292 800 12 zur Verfügung zu stellen.
§ 4
Abtretung und Übergang der Forderungen
1. Mit Abschluss des Einzelkaufvertrages tritt der Verkäufer bereits jetzt die nach Maßgabe des § 2 zum Ankauf angebotenen und von der Bank angekauften Forderungen an die Bank, die diese Abtretung annimmt, ab. Die Forderungen gehen zu diesem Zeitpunkt auf die Bank über. Einer nochmaligen ausdrücklichen Annahmeerklärung der Abtretung durch die Bank bedarf es nicht. Soweit zur wirksamen Übertragung der Ansprüche weitere Rechtshandlungen erforderlich sind, wird der Verkäufer diese unverzüglich vornehmen.
2. Der Verkäufer tritt darüber hinaus an die Bank bereits jetzt diejenigen Forderungen ab, die ihm im Fall der Insolvenz eines Schuldners zustehen, insbesondere die Forderungen, die entstehen, wenn der Insolvenzverwalter des jeweiligen Schuldners die Erfüllung des Vertrages verlangt. Die Bank nimmt diese Abtretung an.
§ 5
Forderungsverwaltung
1. Der Verkäufer ist bis auf Widerruf berechtigt und verpflichtet, die verkauften Forderungen für die Bank unentgeltlich mit der Sorgfalt eines ordentlichen Kaufmanns zu verwalten, zu überwachen und einzuziehen. Der Verkäufer wird hiermit widerruflich zum Einzug der Forderungen ermächtigt. Der Einzug der Forderungen hat über das bei der Dresdner Bank Bremerhaven geführte Konto des Verkäufers Nr. 4 506 261 00 BLZ 292 800 12, zu erfolgen. Der Verkäufer wird seine Schuldner anweisen, Zahlungen ausschließlich auf dieses Konto zu tätigen.
2. Der außergerichtliche Forderungseinzug ist von dem Verkäufer auf eigene Kosten durchzuführen. Auf Verlangen der Bank ist der Verkäufer verpflichtet und berechtigt, die Rechte gegen die Schuldner im eigenen Namen und zunächst auf eigene Kosten gerichtlich geltend zu machen. Soweit das Bestehen und die Durchsetzbarkeit der Forderungen rechtskräftig festgestellt wird, wird die Bank die bei dem Verkäufer verbliebenen notwendigen Kosten auf dessen schriftliche Anforderung erstatten.
3. Der Verkäufer hat der Bank unverzüglich anzuzeigen, wenn die Rechte an den abgetretenen Forderungen durch Pfändung oder sonstige Maßnahmen Dritter beeinträchtigt oder gefährdet werden, und zwar durch Übersendung einer Abschrift des Pfändungsbeschlusses sowie aller sonstigen zu einem Rechtsbehelf gegen die Pfändung oder anderer Maßnahmen erforderlichen Schriftstücke.
4. Die Bank ist jederzeit berechtigt, die Forderungsabtretung gegenüber Schuldnern, auch im Namen des Verkäufers, offen zu legen und den Verwaltungs- und Einziehungsauftrag zu widerrufen sowie die abgetretenen Forderungen selbst einzuziehen oder durch einen Beauftragten einziehen zu lassen, sofern der Schuldner und/oder der Verkäufer gegen wesentliche Verpflichtungen verstoßen.
5. Sollte gegen den Verkäufer oder gegen den Schuldner ein Insolvenzverfahren beantragt oder eröffnet werden, ist die Bank zur sofortigen Offenlegung berechtigt.
6. Für den Fall der Offenlegung der Forderungen und des Widerrufs des Verwaltungs- und Einziehungsauftrages ist der Verkäufer verpflichtet, der Bank alle für den Forderungseinzug erforderlichen Auskünfte zu erteilen und alle Handlungen und Erklärungen – auch gegenüber Dritten – vorzunehmen bzw. abzugeben, die diese zum Einzug der angekauften Forderungen für erforderlich hält.
7. Im Zusammenhang mit dem Forderungseinzug beauftragt der Verkäufer die Bank hiermit ausdrücklich, die jeweils fälligen Beträge der abgetretenen Forderungen von seinem bei der Dresdner Bank Bremerhaven geführten Konto Nr. 4 506 261 00, BLZ 292 800 12, zu den jeweiligen Fälligkeiten abzubuchen.
8. Sollte sich nach Einzug herausstellen, dass die von der Bank abgebuchten Beträge von dem Schuldner ganz oder teilweise nicht gezahlt wurden, hat der Verkäufer das Recht, die abgebuchten und durch den Schuldner nicht gezahlten Beträge innerhalb einer Frist von einem Monat seit Fälligkeit der abgetretenen Forderung in Höhe der von dem Schuldner nicht gezahlten Beträge von der Bank zurückzufordern, es sei denn, die Nichtzahlung des Schuldners beruht auf einem Garantiefall im Sinne des § 7 dieses Vertrages. Nach Ablauf dieser Frist kann der Verkäufer eine Rückzahlung nicht mehr verlangen.
§ 6
Garantieerklärung
1. Der Verkäufer verpflichtet sich zur Abtretung mangelfreier Forderungen. Eine Forderung ist dann frei von Mängeln, wenn weder der Schuldner der Forderung jetzt und in Zukunft Einreden, Einwendungen oder sonstige Gegenrechte gegen die Forderung erheben kann, noch Dritte in Bezug auf die Forderung Rechte gegen die Bank und/oder den Verkäufer geltend machen können.
2. Der Verkäufer garantiert daher gegenüber der Bank, dass er Inhaber der verkauften und abgetretenen Forderungen einschließlich aller Nebenrechte ist, diese abtretbar entstanden sind oder entstehen werden und rechtswirksam an die Bank abgetreten sind und nicht mit Einreden, Einwendungen oder Gegenrechten behaftet sind oder sein werden. Der Verkäufer garantiert ferner in gleicher Weise, dass die Forderungen nicht nachträglich in ihrem rechtlichen Bestand verändert werden, insbesondere nicht durch Einreden, Einwendungen, Zurückbehaltungsrechte und sonstige Rechte, wie z. B. Auf- und Verrechnung, Anfechtung, Minderung, Rücktritt vom Vertrag, Schadenersatz, Ansprüche auf Nachleistung/-lieferung oder Nachbesserung beeinträchtigt werden, und dass die Abtretung durchsetzbar ist. Der Verkäufer steht ebenso dafür ein, dass Dritte unter Bezugnahme auf die abgetretenen und vereinnahmten Forderungen keine Ansprüche gegen die Bank geltend machen können. Diese Garantien gelten unabhängig von einem Verschulden seitens des Verkäufers und davon, ob die Bank die Rechtsmängel bei Abschluss des Einzelkaufvertrages kannte oder kennen musste. Einen Anspruch aus diesen Garantieerklärungen kann die Bank nicht geltend machen, soweit der Forderungsausfall ausschließlich auf der Eröffnung eines Insolvenzverfahrens über das Vermögen des Schuldners der Forderung beruht.
3. Im Falle der rechtsmängelfreien Abtretung der Forderungen haftet der Verkäufer nicht für die Werthaltigkeit der Forderungen, insbesondere nicht für die Zahlungsfähigkeit des Schuldners.
4. Der Verkäufer wird seine Verpflichtungen gegenüber seinem Schuldner ordnungsgemäß und vollständig erfüllen. Ebenso wird er die mit den Forderungen anfallende Umsatzsteuer ordnungsgemäß an die zuständige Finanzverwaltung abführen.
5. Verletzt der Verkäufer seine Pflichten aus diesem Vertrag oder liegt ein Haftungsfall gemäß den vorstehenden Garantienerklärungen vor, so kann die Bank von dem Verkäufer verlangen, dass er sie schadlos hält. Die Bank kann insbesondere verlangen, dass der Verkäufer alle Beträge an die Bank zahlt, die die Bank von dem Schuldner zu einem jeweiligen Fälligkeitstermin nicht erhalten hat oder erhalten wird. Rückstände verzinst der Verkäufer ab Fälligkeit der jeweiligen Forderung mit fünf Prozentpunkten über dem Basiszinssatz gemäß § 247 BGB.
Ansprüche aus den übernommenen Garantien und Verpflichtungen verjähren drei Jahre nach dem jeweiligen Fälligkeitszeitpunkt der angekauften Forderungen.
§ 7
Sonstige Aufwendungen
Gebühren, Steuern, Abgaben u. ä., die die Bank im Zusammenhang mit dem Erwerb der Forderungen und/oder Geltendmachung der Forderungen zu zahlen verpflichtet ist, wird der Verkäufer erstatten. Dasselbe gilt, wenn derartige Gebühren, Steuern, Abgaben u. ä. vom Schuldner einbehalten werden.
§ 8
Wirtschaftlich Berechtigter
Der Verkäufer versichert gemäß § 8 GwG, dass er auf eigene Rechnung handelt.
§ 9
Auskünfte
1. Der Verkäufer verpflichtet sich, der Bank auf Verlangen alle gewünschten Auskünfte zu erteilen und alle Unterlagen zur Verfügung zu stellen, die zur Prüfung seiner wirtschaftlichen und sonstigen Verhältnisse erforderlich sind.
2. Insoweit verpflichtetet sich der Verkäufer, im Umfang gemäß § 18 KWG und den hierzu ergangenen Hinweisen der Bundesanstalt für Finanzdienstleistungsaufsicht die danach notwendigen Unterlagen der Bank auf deren Verlangen vorzulegen, die Einsichtnahme in die jeweiligen Unterlagen zu gestatten, diese zu übergeben und jede gewünschte weitere Auskunft hierüber zu erteilen. Er hat dabei insbesondere dafür zu sorgen, dass der Bank zur Prüfung der wirtschaftlichen Verhältnisse die testierten Jahresabschlüsse und – soweit vorhanden – Geschäftsberichte zeitnah, spätestens vor Ablauf von sechs Monaten nach Abschluss des Geschäftsjahres, vollständig vorgelegt werden.
3. Solange der Bank verkaufte und abgetretene Forderungen zustehen, verpflichtet sich der Verkäufer, die Bank von allem zu unterrichten, das diese Forderungen betrifft, sowie alle Maßnahmen, die ihr zur ordnungsgemäßen Abwicklung erforderlich erscheinen, einvernehmlich zu regeln. Insbesondere wird der Verkäufer die Bank unverzüglich verständigen, wenn ihr Umstände bekannt werden, die eventuell die ordnungsgemäße Abwicklung beeinträchtigen können.
§ 10
Kündigung
Dieser Vertrag kann mit einer Frist von drei Monaten zum Ende eines Kalendermonats schriftlich gekündigt werden. Liegt ein wichtiger Grund vor, kann das Vertragsverhältnis jederzeit gekündigt werden.
§ 11
Schlussbestimmungen
1. Änderungen und Ergänzungen dieses Vertrages bedürfen der Schriftform. Dies gilt auch für die Aufhebung dieses Schriftformerfordernisses.
2. Gerichtsstand und Erfüllungsort für alle Ansprüche aus diesem Vertrag ist Hamburg
3. Dieser Vertrag unterliegt dem Recht der Bundesrepublik Deutschland.
4. Sollte eine Bestimmung dieses Vertrages ganz oder teilweise unwirksam sein oder werden, so ist dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. Die ganz oder teilweise unwirksame Bestimmung wird durch eine wirksame ersetzt, die dem von den Parteien gewünschten wirtschaftlichen Ergebnis am nächsten kommt. Entsprechendes gilt, wenn sich nachträglich Regelungslücken herausstellen sollten.
5. Ergänzend gelten die Allgemeinen Geschäftsbedingungen (AGB) der Bank, die in jeder Geschäftsstelle der Bank eingesehen werden können und auf Wunsch zugesandt werden.
Translation - English Framework agreement
for
the purchase of existing receivables
between
- hereinafter referred to as the "Seller" -
and
- hereinafter referred to as the "Bank" -
Preamble
As a supplier, the Seller has business dealings with the Federal Office for Defence Technology and Procurement, Koblenz. It mainly produces pyrotechnic products for defence technology.
The Seller would like to refinance the financial resources tied up in this business through the sale without recourse of the receivables. The Bank is willing to purchase all or part of the receivables resulting from the supplies of goods and/or services.
Against this background, the Seller and the Bank hereby enter into the following agreement:
§ 1
Subject of the purchase
1. The Bank hereby declares that it is willing, following an audit, to purchase the receivables offered to it by the Seller. As far concerns the receivables offered, these must be considerations for goods and/or services already supplied.
2. The purchase is subject to offer and to the proviso that the total of the receivables offered for each debtor is at least € 500,000.00 (this corresponds to the total of the individual invoices to be submitted - gross - per purchase deadline). Each individual receivable must have a remaining life of 30 days.
3. The total of all receivables purchased and not yet paid may not exceed the sum of € 900,000.00 (underlying forfaiting portfolio).
4. Receivables for which the Seller has already established or has yet to establish a specific provision are excluded from the purchase.
5. The Bank is entitled to exclude receivables related to certain specific supplies of goods and/or services or to certain specific debtors.
6. There is no obligation on the Bank to purchase receivables, just as there is no obligation on the Seller to offer receivables.
§ 2
Conclusion of the individual purchase agreement
1. By forwarding an individual purchase agreement, which must follow the [layout of the] specimen document attached as Annex 1, and a list of receivables/list of unsettled items indicating the receivables offered, the Seller offers the Bank receivables for purchase. At the same time, the Seller indicates the amount and due date of each individual receivable.
2. The Bank is entitled to request at any time further documentation and information on the receivables to be purchased or [already] purchased. It is moreover entitled, where this is required in order to permit it to enforce its claims, either to request the issue of the original documents or to examine these itself, or arrange for a third party appointed by it to examine them, at the Seller's premises.
3. The individual purchase agreement is formed on payment of the agreed purchase price less the processing fee into the Seller's account the details of which are indicated in § 3(3) of this agreement within two weeks of receipt of the offer, unless acceptance was indicated in writing at an earlier date through the return of the countersigned individual purchase agreement. If the Seller does not have the purchase price at its disposal within this deadline or if acceptance is not indicated in writing within the deadline, then the offer is deemed to have been rejected.
4. The Bank shall not as the result of the purchase of the receivables assume any obligations towards the respective debtor which might arise under the contracts or other agreements underlying this receivables purchase.
§ 3
Purchase price amount
1. The purchase price shown in the individual purchase agreement corresponds to the cash value of the receivables to be purchased based on 1-month-EURIBOR plus a margin of 150 basis points p.a. It will be determined taking into consideration the due dates of the receivables purchased and any discounting rate, which must be agreed separately between the parties concerned in each individual case.
2. The Bank receives for each receivable purchased a processing fee in the sum of 1.5% of the purchase amount, subject to a minimum of EUR 10,000.00, which shall fall due on payment of the purchase price and must be deducted from the same.
3. On purchase of the receivables, the purchase price must be placed at the Seller's disposal by the cut-off date specified in the individual purchase agreement, by transfer to the Dresdner Bank Bremerhaven Account No. , Sort Code .
§ 4
Assignment and transfer of receivables
1. As early as the conclusion of the individual purchase agreement, the receivables offered in accordance with the provisions of § 2 and purchased by the Bank are assigned by the Seller to the Bank, who accepts this assignment. As of this moment, the receivables are transferred to the Bank. The Bank is not required to re-state its express acceptance of the assignment. To the extent that other legal acts are required for the purposes of the effective transfer of the claims, the Seller shall proceed with these without delay.
2. The Seller shall moreover assign forthwith those receivables to the Bank which are owed to him in cases of debtor insolvency, notably the receivables which arise when the insolvency administrator for the respective debtor demands the performance of the contract. The Bank shall accept this assignment.
§ 5
Receivables administration
1. Up until such time as notice of revocation is given, the Seller is entitled and obliged to administer, monitor and collect the sold receivables on the Bank's behalf at no charge, and this with the due care and diligence of a prudent businessman. The Seller is hereby revocably authorised to collect the receivables. The collection of the receivables must be done through the Seller's account held at the Dresdner Bank Bremerhaven, No. Sort Code . The Seller shall instruct its debtors to make payments into this account only.
2. This out-of-court receivables collection must be done by the Seller at its own expense. Upon the Bank's request, the Seller is obliged and entitled to assert its rights against debtors by bringing legal action for its own account and, initially, at its own expense. Provided the existence and enforceability of the receivables is found to be indefeasible, the Bank shall reimburse the remaining costs which the Seller must necessarily incur, and this on written request of the latter.
3. The Seller must notify the Bank without delay if the rights to the assigned receivables are impaired or compromised through distraint or other third party measures, and namely by forwarding a copy of the notice of distraint and of all other papers required for a remedy in law against the distraint or other measures.
4. The Bank is entitled at any time to disclose the assignment of the receivables to debtors, including on behalf of the Seller, and to countermand the instruction to administer and collect the receivables, and moreover to collect the assigned receivables itself or to arrange for these to be collected by a representative if the debtor and/or the Seller breach essential obligations.
5. Where an application is made to bring insolvency proceedings against, or where they are brought against the Seller or against the debtor, the Bank is entitled to disclose the receivables forthwith.
6. In case of the disclosure of the receivables or in case the instruction to administer and collect the receivables is countermanded, the Seller is obliged to provide the Bank with all the information required for the receivables collection, and to do everything and/or make all declarations - including towards third parties - which the latter deems necessary for the collection of the purchased receivables.
7. In connection with the receivables collection, the Seller hereby expressly instructs the Bank to debit the amounts in each case payable for the assigned receivables from its account held at the Dresdner Bank Bremerhaven, Account No. , Sort Code , on the respective due dates.
8. Should it emerge after the collection that the amounts debited by the Bank were not paid by the debtor either in full or in part, the Seller shall be entitled to claim back from the Bank the amounts debited and not paid by the debtor within a deadline of one month as of the due date of the assigned receivable, and this for the amounts not paid by the debtor unless the non-payment on the part of the debtor is as the result of a warranted circumstance within the meaning of § 7 of this agreement. On expiry of this deadline, the Seller may no longer demand a refund.
§ 6
Warranty
1. The Seller undertakes to assign receivables which are free of defects. A receivable is free of defects if the debtor of the receivable is now and in the future unable to enter a defence or raise objections or other opposing rights against the receivable, or if third parties are unable to assert rights in relation to the receivable against the Bank and/or the Seller.
2. The Seller therefore warrants to the Bank that he is the owner of the sold and assigned receivables, including all accessory rights, that these have proved or will prove to be assignable and were assigned to the Bank in a legally valid manner, and that they are not and will not be encumbered with a defence, objections or opposing rights. The Seller further similarly warrants that the receivables will not be subsequently changed in terms of their continued existence in law, and will notably not be impaired through defence, objections, rights of retention and other rights such as e.g. offset and set-off, avoidance, reduction, withdrawal from the agreement, damages, claims for additional provision of services/goods or improvement, and that the assignment is enforceable. The Seller equally vouches for the fact that third parties may not assert any claims against the Bank with reference to the assigned and collected receivables. These warranties apply irrespective of any fault on the part of the Seller and irrespective of whether the Bank knew of or should have known of the defects of title at the time of the conclusion of the individual purchase agreement. The Bank may not assert any claim as the result of these warranties if the bad debt loss is due solely to the fact that insolvency proceedings have been brought against the assets of the debtor of the receivable.
3. Where the receivables are assigned without defects of title, the Seller is not responsible for the value retention of the receivables, or notably for the debtor's solvency.
4. The Seller will duly meet its obligations towards its debtor in full. The Seller will also duly remit the VAT which has accrued in relation to the receivables to the relevant tax authority.
5. If the Seller fails to meet its obligations under this agreement or if liability is incurred on the basis of the above warranties, then the Bank may require the Seller to indemnify it. The Bank may notably require the Seller to pay all those amounts to the Bank which the Bank has not received or will not receive from the debtor by a particular due date. The Seller shall pay interest on arrears as of the due date of the respective receivable at five percent above the base lending rate pursuant to § 247 of the German Civil Code.
Claims arising as the result of the warranties and obligations assumed shall become statute-barred three years after the respective due date of the purchased receivables.
§ 7
Other expenditure
The Seller will reimburse fees, taxes, levies and the like which the Bank is obliged to pay in connection with the purchase of the receivables and/or filing of claims. The same shall apply if such fees, taxes, levies and the like are withheld by the debtor.
§ 8
Beneficial owner
The Seller affirms pursuant to § 8 of the AMLA [Anti-Money Laundering Act] that he is acting for his own account.
§ 9
Information
1. The Seller undertakes to provide the Bank on request with all such information as it might require and to make available all documents required in order to permit the Bank to examine the Seller's financial situation and his position in other respects.
2. The Seller accordingly undertakes, to the extent required pursuant to § 18 of the KWG [German Banking Act] and the recommendations issued in this respect by the Federal Financial Supervisory Authority, to submit to the Bank at its request the documents necessary pursuant thereto, to permit the respective documents to be examined, to hand these over, and to provide any further information required. In so doing, the Seller must notably ensure that the certified annual reports and, where available, management reports are submitted in full to the Bank, to permit the latter to examine the financial situation, in a timely manner and no later than six months after the closure of the financial year.
3. For as long as the Bank has an entitlement to sold and assigned receivables, the Seller undertakes to inform the Bank of everything related to these receivables and to arrange by mutual agreement for all measures [to be taken] which seem to the Bank to be necessary for due settlement. The Seller will notably immediately inform the Bank if it should become aware of any circumstances which might possibly impair due settlement.
§ 10
Notice of termination
This agreement may be terminated by giving three months' notice of termination in writing prior to the close of any calendar month. If there is good reason, the contractual relationship may be terminated at any time.
§ 11
Final provisions
1. Amendments and supplements to this agreement must be in writing. This shall also apply to the lifting of this requirement for the written form.
2. The place of jurisdiction and place of performance for all claims arising under this agreement shall be Hamburg.
3. This agreement is subject to the law of the Federal Republic of Germany.
4. Should a provision of this agreement be or become fully or partly inoperative, this shall not affect the operative nature of the remaining provisions. The fully or partly inoperative provision will be replaced by an operative provision which comes closest to the financial outcome desired by the contracting parties. The same shall apply should provisions subsequently prove to be incomplete.
5. The Bank's General Terms and Conditions, which may be examined at any of the Bank's branches and may be forwarded on request, shall apply additionally.

DEFINIZIONI
Nel testo che segue si intende:
1. Aeromobile: la macchina per il trasporto aereo di persone o cose, come definita dalle norme vigenti;
2. Assicurato: il soggetto il cui interesse è protetto dall'assicurazione;
3. Beneficiario: gli eredi dell'Assicurato, o le altre persone da questi designate, ai quali la Società deve corrispondere la somma assicurata;
4. Contraente: il soggetto che stipula l'assicurazione;
5. Indennizzo: la somma dovuta dalla Società in caso di sinistro;
6. Infortunio: l'evento dovuto a causa fortuita, violenta ed esterna che produca lesioni fisiche, obiettivamente constatabili le quali abbiano per conseguenza una invalidità che determini la revoca della licenza;
7. Licenza: titolo aeronautico che abilità all'esercizio professionale delle attività autorizzate dietro compenso;
8. Malattia: alterazione a carattere evolutivo dello stato di salute non dipendente da infortunio, che determini la revoca della licenza;
9. Premio: la somma dovuta dal Contraente alla Società quale corrispettivo per l'assicurazione;
10. Proposta; questionario che, debitamente compilato dall'Assicurato, costituisce parte integrante e fondamento del contratto di assicurazione;
11. Sinistro: il verificarsi del fatto dannoso per il quale è prestata l'assicurazione;
12. Società: Allianz Global Corporate & Specialty AG.
CONDIZIONI GENERALI
DI ASSICURAZIONE
Art 1— OGGETTO DELL'ASSICURAZIONE
La Società corrisponderà la somma assicurata indicata nelle Condizioni Particolari nel caso di revoca definitiva della licenza professionale di cui l'Assicurato è titolare - come precisato nel secondo comma del presente articolo - dovuta alla perdita dei requisiti di idoneità psicofisica, prescritti dalle norme vigenti, a seguito di infortunio o malattia, a condizione che l'infortunio sia verificato o la malattia abbia manifestato i suoi sintomi durante il periodo di validità della presente polizza.
La revoca definitiva, ai fini del pagamento dell'indennizzo, deve essere stata disposta dalla competente Autorità entro 12 mesi dalla data di accertamento della non idoneità e comunque non oltre 12 mesi dalla data di scadenza della presente polizza.
Nel caso in cui l'assicurato superi l'età di 55 anni, si precisa che le garanzie della presente copertura assicurativa sono limitate alla perdita di brevetto a seguito di infortunio.
Art. 2 — RISCHI ESCLUSI
La somma assicurata non è dovuta nei casi in cui la non idoneità psicofisica permanente dell'assicurato sia accertata in conseguenza di:
a) infortunio o malattia contratta in occasione di
I. guerra, invasione, atti di nemici stranieri, ostilità (vi sia o meno guerra dichiarata),
II guerra civile, ribellione, rivoluzione, insurrezione, legge marziale, potere militare, usurpazione o tentativo di usurpazione di potere
III. scioperi, tumulti, sommosse civili, agitazioni di lavoratori
IV. azioni di una o più persona, agenti o meno per conto di una Potenza sovrana, compiute a scopo politico o terroristico, anche se il danno derivante da tali azioni sia accidentale
V. atti di sabotaggio o altri atti dolosi compiuti da terzi;
VI. dirottamento forzato o sequestro illegale o esercizio indebito di controllo sull'aeromobile o sull'equipaggio dell'aeromobile in volo (indusi i tentativi di sequestro illegale o controllo indebito), attuato da una o più persone che si trovino a bordo dell'aeromobile e agiscano sema il consenso del Proprietario o dell'Esercente;
VII trasformazioni o assestamenti energetici dell'atomo, naturali o provocati, e da accelerazioni di particelle atomiche (fissione e fusione nucleare, isotopi radioattivi, macchine acceleratrici, raggi x, ecc.);
b) attività svolte mentre l'Assicurato presta servizio presso le FF.AA.;
c) malattia causata da presenza di amianto e/o da lavorazioni di materiali contenenti questa sostanza o suoi derivati;
d) malattie veneree o di cause da esse direttamente o indirettamente derivanti;
e) sieropositività H.I.V. ovvero A.I.D.S. conclamato;
f) infortuni, avvelenamento o malattie che derivino, direttamente o indirettamente, dall'assunzione di sostanze tossiche, alcoliche, allucinogene o narcotiche di qualsiasi genere;
g) infortuni o malattie causati direttamente o indirettamente da atti di autolesionismo o dall'essersi deliberatamente esposti a pericoli eccezionali (salvo il caso di tentativo di salvataggio di vite umane o per evitare la distruzione dell'aereo), o da atti penalmente rilevanti o da lesioni subite in qualsiasi stato di infermità mentale anche temporanea;
h) infortuni o malattie derivanti dall'esercizio dei seguenti sport:
I. alpinismo con scalata di rocce od accesso a ghiacciai, salti dal trampolino con sci, freestyle ski, heli-snow, snowboard, guidoslitta, polo e caccia a cavallo, caccia grossa, atletica pesante, pugilato, lotta nelle sue varie forme, arti marziali, pelota, calcio con squadre partecipanti a gare di campionato, rugby,
Il. baseball, sci acquatico, immersioni con autorespiratore, canoa e rafting, torrentismo, bodyboard, paracadutismo, deltaplano, parapendio, base jumping, bungee jumping, bike trial, BMX, motocross FMX, quad
III. dalla partecipazione a corse o gare, tentativi di primato ed alle relative prove cd allenamenti salvo che si tratti di: corse podistiche, gare bocciofile, pesca, tiro a segno, tiro a volo e simili, scherma, tennis, manifestazioni e gare aeree non acrobatiche iscritte nei calendari dell'Aeroclub d'Italia e della Fédération Aéronautique Internazionale;
i) infortuni derivanti dall'uso di apparecchi per il Volo da Diporto o Sportive;
malattia o disfunzione o altra alterazione cardiovascolare rilevata a mezzo elettrocardiogramma od ecocardiogramma (salvo che l'Assicurato, prima dell'inizio della polizza, sia stato sottoposto al periodico esame elettrocardiografico, come prescritto dagli Istituti Medici competenti all'accertamento dell'idoneità psicofisica alla licenza, che non abbia evidenziato alcuna anomalia);
j) malattia di natura o di origine psicopatica, psiconeurotica od epilettica oppure di natura non diagnosticabile in base a sintomi evidenti o che, anche se diagnosticabile, non sia stata tuttavia diagnosticata;
k) qualsivoglia cambiamento generalizzato negli standard medici imposti dalle autorità competenti al rilascio della licenza, durante il periodo di validità della polizza.
Art. 3 - DICHIARAZIONI RELATIVE ALLA CIRCOSTANZA DEL RISCHIO
Le dichiarazioni inesatte o le reticenze del Contraente relative a circostanze che influiscono sulla valutazione del rischio, possono comportare la perdita totale o parziale del diritto all'indennizzo nonché la stessa cessazione dell'assicurazione, ai sensi degli artt. 1892, 1893 e 1894 C.C..
Art 4 —AGGRAVAMENTO— DIMINUZIONE DEL RISCHIO
Ogni aggravamento del rischio deve essere immediatamente comunicato per iscritto alla Società. Gli aggravamenti di rischio non noti o non accettati dalla Società possono comportare la perdita totale o parziale del diritto all'indennizzo, nonché la stessa cessazione dell'assicurazione, ai sensi dell'art. 1898 C.C.
In conformità a quanto stabilito dall'art 522 Cod. Nav., ove applicabile, la Società non risponde se, per fatto dell'Assicurato, il rischio viene trasformato o aggravato.
Nel caso di diminuzione del rischio la Società è tenuta a ridurre iI premio o le rate di premio successive alla relative comunicazione dell'Assicurato, ai sensi dell'art. 1897 CC., e rinuncia al relativo diritto di recesso.
Art. 5 - PAGAMENTO DEL PREMIO
L'intero premio convenuto o, nel caso di premio rateato, la prima rata di esso devono essere pagati all'atto della conclusione del contratto; le rate successive devono essere pagate alle scadenze pattuite. L'avvenuto pagamento del premio deve risultare da regolari quietanze emesse dalla Società.
L'assicurazione ha effetto dalle ore 24 del giorno indicato in Frontespizio se il premio o la prima rata di premio sono stati pagati; altrimenti ha effetto dalle ore 24 del giorno del pagamento.
Se il Contraente non paga il premio o le rate di premio successivi, l'assicurazione resta sospesa dalle ore 24 del 15° giorno dopo quello della scadenza e riprende vigore dalle ore 24 del giorno del pagamento, fermo il diritto della Società al pagamento dei premi scaduti, ai sensi dell'art. 1901 C.C.
Art 6 - MODIFICA DELL'ASSICURAZIONE
Le eventuali modifiche dell'assicurazione devono essere provate per iscritto.
Art. 7 - SURROGAZIONE
La Società ha il diritto di surrogazione verso i terzi responsabili, ai sensi dell'art. 1916 C.C. ad esclusione della Contraente stessa.
Art 8 - ALTRE ASSICURAZIONI
Il Contraente e/o l'Assicurato devono comunicare per iscritto alla Società l'esistenza e la successiva stipulazione di altre assicurazioni per lo stesso rischio; in caso di sinistro, il Contraente deve darne avviso a tutti gli Assicuratori, indicando a ciascuno il nome degli altri, cosi come previsto dall'art. 1910 C.C.
Art. 9 - OBBLIGHI DELL'ASSICURATO IN CASO DI SINISTRO
In caso di sinistro, il Contraente o l'Assicurato deve dame avviso scritto alla Società entro otto giorni da quando ne ha avuto conoscenza, ai sensi dell'art. 1913 C.C.
L'inadempimento di tale obbligo può comportare la perdita totale o parziale del diritto all'indennizzo, ai sensi dell'art. 1915 C.C.
Art. 10 - RECESSO IN CASO DI SINISTRO
Dopo ogni sinistro e fino al 60° giorno dal pagamento o rifiuto dell'indennizzo, le Parti possono recedere dall'assicurazione con preavviso di 30 giorni.
In tale caso essa, entro 15 giorni dalla data di efficacia del recesso stesso, si procederà a rimborsare la parte di premio, al netto dell'imposta relativa al rischio non corso.
Qualora il premio sia stato convenuto, in tutto o in parte, in base alla valutazione presuntiva di elementi variabili, la Società rimborserà il premio imponibile pagato, o ridurrà il premio dovuto, in base all'applicazione degli elementi stabiliti per il conteggio ed in proporzione alla parte temporale di rischio non corso.
Il premio da rimborsare alla Contraente viene calcolato a pro-rata temporis.
Art. 11- ONERI FISCALI
Le imposte, le tasse ed i contributi e tutti gli altri oneri stabiliti per legge, presenti e futuri, relativi al premio, agli accessori, al contratto ed agli atti da esso dipendenti, sono a carico del Contraente, anche se il pagamento ne sia stato anticipato dalla Società.
Art. 12 - FORO COMPETENTE
Le Parti stabiliscono espressamente, ai sensi e per gli effetti di cui all'art. c.p.c., che per ogni controversia nascente dall'esecuzione o interpretazione del presente contratto o ad essa stretta mente connessa sarà territorialmente competente il foro della Parte convenuta.
Art. 13 - RINVIO ALLE NORME DI LEGGE
Per tutto quanto non è qui diversamente regolato, valgono le norme della legge italiana.
Agli effetti dell'art. 1341 del Codice Civile la Contraente dichiara di approvare specificamente le disposizioni degli articoli seguenti:

CONDIZIONI PARTICOLARI Dl ASSICURAZIONE
Art. 1 - STIPULA E DECORRENZA DELL'ASSICURAZIONE
Al fine di stipulare l'assicurazione, come in seguito specificato, alla data d'inizio del periodo assicurativo l'Assicurato deve essere in possesso a norma di Legge del Brevetto di Volo Professionale per I'Aviazione Civile in corso di validità ed essere occupato presso la Contraente, azienda di lavoro aereo; deve quindi compilare il modulo di domanda che, insieme a qualsiasi altra dichiarazione, garanzia o attestato, formerà parte integrante di questo contralto e ne costituirà la base.
Il modulo di domanda dovrà invece essere nuovamente presentato dall'Assicurato qualora, durante l'annualità assicurativa appena trascorsa, il Brevetto di volo per l'Aviazione Civile gli sia stato temporaneamente sospeso, anche se ciò non ha generato alcun indennizzo secondo i termini della presente polizza, o quando è stato sottoposto dall'Istituto Medico Legale dell'Aeronautica Militare Italiana a visite mediche al di fuori della normale periodicità indicata nel successivo Art. 2.
Art. 2 —OBBLIGHI DELL'ASSICURATO
Al fine di consentire alla Società di esperire indagini su reclami sottoposti a causa della perdita di Brevetto di Volo come sopra detto, l'Assicurato provvederà, se richiesto dalla Società, a sottoporsi a visita da parte di un medico, a spese della Società, al fine di accertare la natura della lesione corporale o della malattia/infermità in questione. indue autorizzerà la Società, in modo irrevocabile, a rivolgersi per un parere al funzionario sanitario principale competente presso le Autorità che hanno rilasciato il Brevetto (o un altro funzionario sanitario all'uopo nominato dalle suddette Autorità), al fine di sapere se la persona assicurata otterrà il rinnovo del Brevetto di Volo ed autorizzerà il suddetto funzionario ad esprimere e comunicare tale parere alla Società.
A detti fini l'Assicurato rilascerà di volta in volta, qualsiasi ulteriore consenso per iscritto o in altro modo.
L'Assicurato ha l'obbligo, se richiesto esplicitamente dalla Società, di impugnare la dichiarazione di Inidoneità Definitiva sancita dall'ISTITUTO MEDICO LEGALE con ricorso pressa l'apposita Commissione Medica d'Appello, attualmente sita in Roma. Le parti confermano di essere a conoscenza che l'esito del ricorso presso la Commissione Medica d'Appello è considerato definitivo in termini assoluti e quindi inappellabile.
Si precisa altresì che se, nonostante quanto sopra, l'Assicurato, dopo essere stato indennizzato riottenesse il Brevetto di Volo Professionale per Aviazione Civile dall'Autorità preposta Italiana o di qualsiasi altro Stato entro il termine di due anni dalla data della liquidazione, dovrà restituire alla Società l'intero importo ricevuto maggiorato degli interessi legali stabiliti dalla legge maturati dalla data di ricevimento dell'indennizzo alla data di restituzione dello stesso.
Art. 3 - TERMINE DELL'ASSICURAZIONE
La copertura assicurativa di ciascun Assicurato terminerà, e tutti i diritti al risarcimenti cesseranno, al verificarsi di uno o più dei seguenti casi, salvo diverse disposizioni contenute nei termini, condizioni e limitazioni della polizza:
in caso di morte dell'assicurato,
dopa il ricevimento da parte dell'Assicurato dell'indennizzo di cui alla presente polizza;
compimento dei 65 anni di età da parte dell'Assicurato,
ritiro permanente dell'Assicurato dalla sua attività;
se l'Assicurato prende parte volontariamente oppure no ad esercitazioni attive pressa qualsiasi Forza Armata.
nel caso in cui l'Assicurato cessi di essere occupato pressa una compagnia di navigazione aerea o azienda di lavoro aereo in qualità di pilota, le garanzie di cui alla presente polizza cesseranno a tutti gli effetti con decorrenza dalle ore 24.00 del giorno precedente a quello della cessazione del rapporto di lavoro. La Società provvederà a rimborsare la parte di premio pagato ma non goduto al pro-rata temporis giornaliero. A tal riguardo il Contraente, pena la decadenza di ogni diritto all'indennizzo, si impegna a comunicare tempestivamente per iscritto alla Società le eventuali variazioni dello "status" di occupato dell'Assicurato in qualità di pilota ed a fornire, se richiesta, la relativa documentazione di supporto.
Art 4- ELENCO ASSICURATI
La presente polizza ha per oggetto l'assicurazione della Perdita del Brevetto di Volo a favore dei piloti iscritti nel ruolo del personale navigante della Contraente, sia mediante contratto a tempo indeterminato che determinato
La Contraente è tenuta a dare comunicazione tempestiva per iscritto delle eventuali inclusioni, esclusioni e variazioni di qualifica verificatesi nel corso dell'annualità assicurativa.
Su richiesta della Società la Contraente dovrà fornire prova che al momento del sinistro l'Assicurato era alle sue dipendenze (specificando l'esatta qualifica rivestita) ed era regolarmente iscritto nel ruolo del personale navigante.
Per il personale non dipendente (allievi piloti, stagisti ed ispettori di volo) la Contraente si impegna a mantenere aggiornato un registro dove risultino le entrate e le uscite di detto personale. All'atto della denuncia del sinistro la Contraente fornirà la prova che l'Assicurato risultava regolarmente registrato alla data di accadimento del sinistro stesso.
La Società si riserva il diritto di esercitare, a propria discrezione, eventuali controlli sulla veridicità delle dichiarazioni effettuate dalla Contraente.
Art 5 - CASO DI MORTE
In casa di morte dell'Assicurato, la Società sarà obbligata verso gli aventi diritto unicamente per il capitale assicurato, se ancora da pagare al momento del decesso e solo net caso in cui la morte avvenga dopo sopravvenuta la dichiarazione di inabilità definitiva, e quindi revoca definitiva della licenza, da parte dei competenti organi.
La somma assicurata non è dovuta nel caso in cui la morte dell'Assicurato avvenga prima della revoca definitiva della licenza.

Art. 7 - INFORMAZIONI GENERALI
Si prende nota e si da atto delle seguenti informazioni fornite dal Contraente:
Il Brevetto di Volo professionale per Aviazione Civile viene rilasciato dalle competenti Autorità dopo un esame teorico e pratico e dopo una visita medica ordinaria atta a determinare l'idoneità psico-fisica del candidato.
Le visite mediche per la determinazione dell'idoneità psico-fisica sono effettuate dall'ISTITUTO MEDICO LEGALE, Ente organizzato e gestito dall'AERONAUTICA MILITARE ITALIANA.
La visita medica si articola su una serie di accertamenti diagnostici e visite specialistiche che prevedono:
• analisi del sangue;
• analisi delle urine;
• elettrocardiografia;
• analisi schermografica del torace (con cadenza annuale);
• controllo dei va lori pressori;
• visita otorinolaringoiatra;
• visita oculistica;
• visita somatica.
nel caso in cui i medici rilevino dalla visita generale la necessità di particolari approfondimenti, il pilota viene sottoposto ad ogni ulteriore accertamento diagnostico che viene ritenuto necessario.
con lo scopo di verificare periodicamente l'idoneità dei piloti in possesso del Brevetto di Volo in corso di validità, i piloti sono obbligati a sottoporsi alla visita medica ordina ria presso une dei tre ISTITUTI MEDICO LEGALI, che hanno sede a Roma, Milano e Napoli,
ogni 12 mesi fino al compimento del 40° anno di età;
ogni 6 mesi dal compimento del 400 anno di età fino al compimento del 60° anno di età;
ogni 4 anni i piloti sono sottoposti a visita audiometrica ed ad elettroencefalogramma.
ad insindacabile discrezione dei medici dell'ISTITUTO MEDICO LEGALE, il pilota pub essere sottoposto a visite ed accerta menti diagnostici con cadenze più ravvicinate.
il Brevetto di Volo viene sospeso in forma automatica ogniqualvolta un infortunio od una malattia coinvolga un pilota per un periodo superiore a 19 giorni. Viene sospeso anche nel caso in cui un pilota abbia subito un'anestesia totale e nell'ipotesi di ricovero in un istituto di cura a seguito di una situazione di urgenza.
per la riattivazione della validità del Brevetto di Volo, il pilota deve superare la visita medica straordinaria pressa l'ISTITUTO MEDICO LEGALE.
Resta inteso e convenuto che eventuali variazioni dovranno essere comunicate tempestivamente dal Contraente alla Società Assicuratori che si impegna altresì ad ottemperare alle eventuali sopracitate variazioni.
Art. 8 - FELICE ESITO
In assenza di sinistri e/o spese a carico della Società e purché la polizza sia rinnovata alla sua naturale scadenza per un'ulteriore annualità con lo stesso Assicuratore, verrà concesso alla scadenza dell'anno assicurativo uno sconto posticipato per felice esito pari al 5% del totale del premio imponibile corrisposto.
Art. 9 - PREMIO
Per la copertura dei rischi di cui alla presente polizza l'Assicurato, dovrà corrispondere il premio minimo a deposito di Euro 380.000,00 come risulta dal seguente conteggio:

DEFINITIONS
In the text that follows the terms indicated below shall have the following meaning:
1. Aircraft: device for the carriage by air of persons or property, as defined by current regulations;
2. Insured Person: the person whose interests are protected by the insurance;
3. Beneficiary: the heirs of the Insured Person, or other persons appointed by him, to whom the Company must pay the sum insured;
4. Policyholder: the person who purchases the insurance;
5. Benefit: the sum payable by the Company in case of a claim;
6. Accident: the event due to a fortuitous, violent and external cause which produces objectively verifiable physical injuries resulting in a disability which leads to the revocation of the licence;
7. Licence: an aviation qualification licensing the exercise of authorised activities on a professional basis in return for a consideration;
8. Illness: progressive alteration in the state of health not dependent on an accident, which leads to the revocation of the licence
9. Premium: the sum payable by the Policyholder to the Company in consideration for the insurance;
10. Proposal; questionnaire which, after being duly completed by the Insured Person, forms an integral part of and the basis for the insurance contract;
11. Claim: the occurrence of the harmful event for which the insurance is afforded;
12. Company: Allianz Global Corporate & Specialty AG.
GENERAL CONDITIONS
OF INSURANCE
Article 1 - SUBJECT OF THE INSURANCE
The Company will pay the sum insured indicated in the Special Conditions in case of the permanent revocation of the professional licence held by the Insured Person - as detailed in the second paragraph of this Article - due to the loss of the required mental and physical fitness levels as prescribed by regulations currently in force, following an accident or illness, on condition that the accident occurred or the illness showed its symptoms during the period of validity of this policy.
The final revocation must for the purposes of the payment of benefit have been ordered by the competent Authority within 12 months of the date of assessment of the unfitness and in any event no later than 12 months after the expiry date of this policy.
Where the insured is older than 55 years of age, it is specified that the covers provided for hereunder are limited to the loss of licence as the result of an accident.
Article 2 - RISKS EXCLUDED
The sum insured is not payable in cases in which the insured person is assessed as being permanently mentally and physically unfit in consequence of:
a) accident or illness contracted on the occasion of
I. war, invasion, acts of foreign enemies, hostilities (whether war has been declared or not),
II civil war, rebellion, revolution, insurrection, martial law, military power, military power, usurped power or attempted usurpation of power
III. strikes, riots, civil commotions, labour unrest
IV. actions of one or more persons, whether or not agents of a sovereign Power, committed for political or terrorist purposes, even if the loss or damage arising from such actions is accidental
V. acts of sabotage or other malicious acts carried out by third parties;
f) hijacking or any unlawful seizure or wrongful exercise of control of the aircraft or of the aircraft crew in flight (including any attempt at such unlawful seizure or control) made by any person or persons on board the aircraft acting without the consent of the Owner or Operator;
VII transformations or energetic arrangements of the atom, whether natural or provoked, and accelerations of atomic particles (nuclear fission and fusion, radioactive isotopes, accelerator machines, X-rays etc.);
b) activities performed while the Insured Person is on duty for the Armed Forces;
c) illness caused by the presence of asbestos and/or by any work done on materials containing this substance or its by-products;
d) venereal diseases or of causes directly or indirectly resulting from such diseases;
e) H.I.V. seropositivity or declared A.I.D.S.;
f) accidents, poisoning or illnesses resulting directly or indirectly from the absorption of toxic, alcoholic, hallucinogenic, or narcotic substances of any kind;
g) accidents or illnesses caused directly or indirectly by acts of self-harm or by deliberately exposing oneself to exceptional hazards (except in an attempt to rescue human life or to prevent the destruction of the aircraft), or by criminally relevant acts or by injuries suffered in any state of mental illness, even temporary;
h) accidents or illnesses resulting from the exercise of the following sports:
I. mountaineering including rock climbing or glacier access, ski jumping, freestyle skiing, heli-boarding, snowboarding, bobsleigh, polo and horseback hunting, big-game hunting, weight-lifting and wrestling, boxing, combat in its various forms, martial arts, pelota, football with teams participating in championship contests, rugby,
II. baseball, waterskiing, scuba diving, canoeing and rafting, canyoning, bodyboarding, parachuting, hang gliding, paragliding, base jumping, bungee jumping, bike trial, BMX, motocross FMX, quad
III. by participation in races or contests, record attempts, of any kind and the related training or trials unless it concerns: road racing, bowling contests, fishing, target shooting, trapshooting and the like, fencing, tennis, air shows and non-acrobatic air races registered in the calendars of the Aeroclub d'Italia and of the Fédération Aéronautique Internazionale;
i) accidents resulting from the use of flying machines for Sport or Pleasure;
cardiovascular disease or dysfunction, or other cardiovascular alteration, identified by means of an ECG or echocardiogram (unless the Insured Person underwent, prior to the inception of the policy, the periodic electrocardiographic test prescribed by the competent Medical Bodies responsible for the assessment of the mental and physical fitness [required] for the licence, and this did not reveal any abnormality);
j) illness the nature or origin of which is psychopathic, psychoneurotic or epileptic, or the nature of which is such that it is not diagnosable based on obvious symptoms or, even if it is diagnosable, it has nevertheless not been diagnosed;
k) any general change to the medical standards imposed by the competent authorities responsible for the issue of the licence during the period of validity of the policy.
Article 3 - DECLARATIONS RELATING TO THE CIRCUMSTANCES OF THE RISK
Should the Policyholder make any inaccurate or incomplete declarations in relation to circumstances which might have an influence on the assessment of the risk, this may imply the total or partial forfeiture of the right to benefit, as well as the very termination of the insurance, pursuant to Articles 1892, 1893 and 1894 of the Civil Code.
Article 4 - INCREASE - REDUCTION IN THE RISK
3.1 Any increase in the risk must be notified to the Company immediately in writing. Increases in risk not disclosed to or not accepted by the Company may imply the total or partial forfeiture of the right to indemnity, as well as the very termination of the insurance, pursuant to Article 1898 of the Civil Code.
In accordance with what is established by Article 522 of the Navigation Code if through the action of the Insured Person, the risk is changed or increased, the Company shall not assume liability.
In case of a reduction in the risk, the Company is obliged to reduce the premium or the premium instalments which follow the related notification from the Insured Person pursuant to Article 1897 of the Civil Code, and it shall waive the related right of withdrawal.
Article 5 - PAYMENT OF THE PREMIUM
The entire premium agreed, or in case the premium is payable in instalments, the first premium instalment, must be paid on conclusion of the contract; the successive instalments must be paid on the agreed due dates. Regular receipts issued by the Company shall attest to the fact that the premium has been paid.
The insurance takes effect as of 24:00 hours on the date indicated in the policy jacket provided the premium or first premium instalment has been paid; otherwise it takes effect as of 24:00 hours on the date of payment.
If the Policyholder fails to pay the premium or the successive premium instalments, the insurance is suspended as of 24:00 hours on the 15th day following the due date and it comes into force again as of 24:00 hours on the date of payment, this without prejudice to the right of the Company to payment of the premiums that have fallen due pursuant to Article 1901 of the Civil Code.
Article 6 - MODIFICATION OF THE INSURANCE
Any amendments to the insurance must be confirmed in writing.
Article 7 - SUBROGATION
The Company is entitled to exercise its right of subrogation against liable third parties pursuant to Article 1916 of the Civil Code, to the exclusion of the Policyholder itself.
Article 8 - OTHER INSURANCES
The Policyholder and/or the Insured Person must notify the Company in writing of the existence of and successive purchase of other insurances in respect of the same risk and, in case of a claim, the Policyholder must notify all the Insurers of this, indicating to each of them the name of the others, as provided for in Article 1910 of the Civil Code.
Article 9 - OBLIGATIONS OF THE INSURED IN CASE OF A CLAIM
In case of a claim, the Policyholder or the Insured Person must provide the Company with written notification of this within eight days of the date on which they became aware of the same, pursuant to Article 1913 of the Civil Code.
The failure to fulfil this obligation may imply the total or partial forfeiture of the right to indemnity pursuant to Article 1915 of the Civil Code.
Article 10 - WITHDRAWAL IN CASE OF A CLAIM
After each claim and up to the 60th day following payment or refusal of the benefit, the Parties may withdraw from the insurance by giving 30 days' prior notice.
In this case, they shall within 15 days of the effective date of the said withdrawal reimburse the portion of premium, net of tax, which relates to the period of unexpired risk.
If the premium has been agreed, in full or in part, on the basis of an estimated valuation of variable elements, the Company will reimburse the taxable premium paid or will reduce the premium due based on the application of the elements taken as a basis for the premium computation and pro rata to the period of unexpired risk.
The premium to be reimbursed to the Policyholder is calculated on a pro rata temporis basis.
Article 11 - FISCAL CHARGES
Current and future taxes, levies and contributions, and all other charges established by law in relation to the premium, to the policy fees, to the contract and to documents reliant upon the same are chargeable to the Policyholder, even if the payment thereof has been made in advance by the Company.
Article 12 PLACE OF JURISDICTION
The Parties hereto expressly stipulate, pursuant to and for the purposes of Article ? Code of Civil Procedure, that for every dispute arising out of the performance or interpretation of this contract, or strictly related thereto, it is the Court for the defendant Party which will have territorial jurisdiction.
Article 13 - DEFERMENT TO THE RULES OF LAW
For all that which is not otherwise regulated, the rules of Italian law shall apply.
For the purposes of Articles 1341 and 1342 of the Civil Code, the Policyholder hereby declares that it specifically approves of the provisions of the following articles:
Articles 2 (Risks excluded);
Article 5 (Payment of the premium)
Article 10 (Option of withdrawal);
Article 12 and 13 (Place of jurisdiction and Applicable law);

SPECIAL CONDITIONS OF INSURANCE
Article 1 - CONCLUSION AND COMMENCEMENT OF THE INSURANCE
Before he can purchase the insurance as hereinafter specified, the Insured Person must as of the date of inception of the period of insurance be in possession under the Law of a valid Professional Pilot's Licence for Civil Aviation and be employed by the Policyholder, an aerial work business; he must therefore complete the application form which, together with any other declaration, warranty or statement, will form an integral part of this contract and form the basis for the same.
The application form must on the other hand be again submitted by the Insured Person if, during the annual insurance period which has only just elapsed, he has had his Pilot's Licence for Civil Aviation temporarily suspended, even if this did not generate any benefit under the terms of this policy, or whenever he has been subjected by the Medical Examining Board of the Italian Military Aviation Authority to medical examination is beyond the normal frequency indicated in Article 2 below.
Article 2 - INSURED PERSON'S OBLIGATIONS
To permit the Company to conduct investigations into claims made as the result of the loss of Pilot's Licence as set out above, the Insured Person will, if so requested by the Company, arrange to undergo an examination by a physician, at the Company's expense, with a view to assessing the nature of the physical injury or illness/physical disability in question. He will moreover irrevocably authorise the Company to seek an opinion from the competent principal medical officer working for the Authorities who issued the Licence (or any other medical officer nominated for such purpose by the aforesaid Authorities) with a view to learning whether the insured person will obtain the renewal of the Pilot's Licence, and he will authorise the aforesaid officer to express this opinion and communicate the same to the Company.
The Insured Person will for such purposes issue from time to time any further consent in writing or otherwise.
The Insured Person is obliged, where explicitly so required by the Company, to challenge the declaration of Permanent Unfitness approved by the MEDICAL EXAMINING BOARD through an appeal made to the special Medical Appeal Committee currently situated in Rome. The parties hereby confirm that they are aware of the fact that the outcome of the appeal to the Medical Appeal Committee is deemed to be final in absolute terms and is thus unappealable.
It is moreover specified that, notwithstanding the above, should the Insured Person, after receiving benefit, reacquire the Professional Pilot's Licence for Civil Aviation from the Italian Authority responsible or from the Authority of any other State within two years of the date of settlement [of the claim], he must repay to the Company the entire amount received, increased by the statutory interest established by law which has accrued from the date of receipt of the benefit to the date of repayment of the same.
Article 3 - TERMINATION OF THE INSURANCE
The insurance cover will terminate, for each Insured Person, and all rights to compensation will cease, in the event of the occurrence of one or more of the following cases, unless otherwise provided for in the terms, conditions and limitations of the policy:
in case of the death of the insured person,
following the receipt by the Insured Person of the benefit provided for under this policy;
when the Insured Person reaches 65 years of age,
upon the Insured Person's permanent retirement;
if the Insured Person takes part, willingly or not, in active training for any Armed Force.
should the Insured Person cease to be employed by the air navigation company or aerial work business in the capacity as pilot, the covers afforded under this policy will cease for all purposes as of 24:00 hours on the date preceding the date of cessation of the employment. The Company will arrange to reimburse the portion of premium paid in respect of coverage not benefited from on a daily pro rata temporis basis. In this regard, the Policyholder undertakes, on pain of forfeiture of any right to benefit, to notify the Company in writing in good time of any changes to the "status" of employment of the Insured Person in the capacity as pilot and to provide, where requested, the related supporting documentation.
Article 4 - LIST OF INSURED PERSONS
The purpose of this policy is to provide Loss of Pilot's Licence insurance for the benefit of pilots entered on the roll of the Policyholder's air crew, both under open-ended and fixed-term contracts
The Policyholder is obliged to notify in writing in good time any inclusions, exclusions and changes to status occurring in the course of the annual insurance period.
At the Company's request, the Policyholder will have to provide evidence of the fact that at the time of the claim, the Insured Person was employed by it (specifying the precise status held) and was duly entered on the roll of the air crew.
For non-flying personnel (student pilots, trainees and flight inspectors), the Policyholder undertakes to keep an up-to-date register showing additions to and departures of such personnel. On notifying the claim, the Policyholder will provide evidence of the fact that the Insured Person proved to be duly registered as of the date of occurrence of the said claim.
The Company reserves the right to make, at its discretion, any checks with regard to the veracity of the declarations made by the Policyholder.
Article 5 - IN CASE OF DEATH
In case of the Insured Person's death, the Company will be under an obligation vis-à-vis the rightful claimants solely with respect to the sum insured, if this is still payable at the time of death and only where death occurs after the declaration of permanent disqualification, and therefore final revocation of the licence, has been issued by the competent bodies.
The sum insured is not payable where the death of the Insured Person occurs prior to the final revocation of the licence.
Article 6 - SUMS INSURED AND ANNUAL RATES
The insurance is afforded on a named insured basis for the benefit of the persons referred to in Article 4 above of the Special Conditions for the following sums insured related to each professional category:

It is hereby clarified that:
- the phrase "up to 52 years of age" is understood to mean from one day after the date of a person's 54th birthday to the date of their 55th birthday and accordingly thereafter for successive years;
- the phrase "up to 65 years of age" is understood to mean from one day after the date of a person's 64th birthday to the date of their 65th birthday
Article 7 - GENERAL INFORMATION
The following information provided by the Policyholder is hereby noted and formally acknowledged:
The Professional Pilot's Licence for Civil Aviation is issued by the competent Authorities following a theoretical and practical examination and following a routine medical examination designed to determine the mental and physical fitness of the candidate.
The medical examinations performed in order to determine the mental and physical fitness are conducted by the MEDICAL EXAMINING BOARD, a Body organised and managed by the ITALIAN MILITARY AVIATION AUTHORITY.
The medical examination is broken down into a series of diagnostic tests and specialist examinations which provide for:
• blood analyses;
• urine analyses
• ECG;
• X-ray analyses of the thorax (on an annual frequency);
• blood pressure checks;
• ENT examination;
• ophthalmologist examination;
• somatic examination.
where the physicians identify as the result of the general examination the need for particular in-depth examinations, the pilot shall undergo any additional diagnostic test which may be deemed to be necessary.
with a view to periodically checking the fitness of pilots in possession of a valid Pilot's Licence, the pilots are obliged to undergo the routine medical examination at one of the three MEDICAL EXAMINING BOARDS, which sit in Rome, Milan and Naples,
every 12 months until the age of 40;
every 6 months from the pilot's 40th birthday up until his 60th birthday;
every 4 years, pilots undergo audiometric testing and the EEG.
at the final discretion of the physicians from the MEDICAL EXAMINING BOARD, the pilot may undergo examinations and diagnostic testing at closer intervals.
the Pilot's Licence is automatically suspended whenever an accident or illness affects a pilot for a period of more than 19 days. It is also suspended if a pilot has received full anaesthetic and is hospitalised as the result of an emergency.
before he can reactivate the validity of the Pilot's Licence, the pilot must undergo the special medical examination at the MEDICAL EXAMINING BOARD.
It is understood and agreed that any changes will have to be notified by the Policyholder in good time to the Insurance Company, which undertakes moreover to respect any such changes.
Article 8 - POSITIVE RESULT
In the absence of claims and/or expenses chargeable to the Company and provided the policy is renewed at its natural expiry for a further annual period with the same Insurer, a deferred discount for a positive result equal to 5% of the total of the taxable premium paid will be granted on expiry of the insurance year.
Article 9 - PREMIUM
For the coverage of the risks set out in this policy, the Insured Person will have to pay a minimum and deposit premium in the sum of Euro 380,000.00, as calculated below

The Policyholder undertakes within 30 days of the expiry of this policy to provide the Company with the list of all the changes made in the course of the period of insurance, to permit the Company to proceed with the adjustment of the premium, which must be paid within 30 days of the date of attachment of the risks.
