Source text - English Kuwait Energy Company Acquires $200 Million of MENA Assets from Oil Search MENA

Kuwait – 24 August, 2008: Kuwait Energy announces acquiring 100% of the issued share capital of Oil Search (MENA) Limited for the considerable sum of $ 200 million. The newly acquired company will entitle Kuwait Energy to pursue its working interests, where it will continue to manage three of its assets in Egypt, and five assets in Yemen, four of which they act as an operator.
On 31st March 2008, Kuwait Energy pre-empted a scheduled public auction of the assets and concluded a Sale and Purchase Agreement within two weeks for the acquisition of Oil Search’s MENA assets. The Sale and Purchase Agreement was executed on 14th April 2008 and completion took place in August 2008 after having obtained the required approvals from the relevant regulatory authorities in Egypt and Yemen. Oil Search will remain involved in the operations for a further 3-6 months post completion to ensure a smooth transition of operatorship to Kuwait Energy and synergy with existing Joint Venture partners.
Dr Manssour Aboukhamseen, Chairman and Managing Director of Kuwait Energy, said: “We are delighted to have executed the Sale and Purchase Agreement with Oil Search, which has allowed us to strengthen our foothold in the MENA region. Kuwait Energy’s latest acquisition is a reflection of our proven track record of high value added acquisitions and a further step in its ongoing aggressive expansion plan to obtain superior returns for its investors and become the leading Middle East based independent oil and gas exploration and production company.”
The newly acquired assets in Egypt and Yemen are a significant milestone in Kuwait Energy’s expansion strategy across the MENA region and further extends Kuwait Energy’s position in these two core countries, where it is firmly established. The transaction also provides a balanced portfolio of producing and exploration assets in a focus area which not only compliments Kuwait Energy’s strategy on short and long term investment opportunities in the MENA region, which is considered a regional hub, but in addition, it significantly enhances and solidifies Kuwait Energy’s current portfolio to fulfill the company’s objectives for production and reserves base by 2010.

الكويت- 24 أغسطس 2008: أعلنت شركة الكويت للطاقة عن تملكها 100% من رأس المال المصدر لشركة الشرق الأوسط وشمال أفريقيا للأبحاث النفطية المحدودة مقابل مبلغ ضخم بلغ 200 مليون دولار. وسوف تعطي الشركة الجديدة التي تم تملكها الحق لشركة الكويت للطاقة في مباشرة عملها وسوف تستمر في إدارة ثلاثة من أصولها في مصر وخمسة أصول أخرى في اليمن منها أربعة تعمل بمثابة مُشغل.
وفي 31 مارس 2008، استملكت الكويت للطاقة أصولاً في المزاد العلني وأبرمت اتفاقية بيع وشراء خلال أسبوعين لاستملاك أصول شركة الشرق الأوسط وشمال أفريقيا للأبحاث النفطية. وتم تنفيذ اتفاقية البيع والشراء بتاريخ 14 ابريل 2008 وتم إنجازها في أغسطس 2008 بعد الحصول على الموافقات المطلوبة من السلطات التنظيمية المعنية في مصر واليمن. وسوف تظل شركة الأبحاث النفطية معنية بالعمليات لمدة 3-6 أشهر أخرى بعد الإنجاز لضمان الانتقال السريع للعمليات التشغيلية إلى شركة الكويت للطاقة والتعاون مع شركاء المشاريع المشتركة الحاليين.
وفي هذا الصدد علق الدكتور منصور أبو خمسين رئيس مجلس الإدارة والعضو المنتدب لشركة الكويت للطاقة قائلا: "يسرنا تنفيذ اتفاقية البيع والشراء مع شركة الأبحاث النفطية مما يمكننا من تقوية وثبيت أقدامنا في منطقة الشرق الأوسط وشمال أفريقيا. وكان أخر استملاك قامت به شركة الكويت للطاقة يمثل إنعكاساً لسجل نجاحاتنا في الاستملاكات ذات القيمة المضافة التي نحرزها وإنعكاساً لخطوة أخرى ضمن خطة التوسع المحكمة والمتواصلة للحصول على عوائد ضخمة لمستثمريها ولكي تصبح شركة مستقلة رائدة في مجال استكشاف وإنتاج النفط والغاز في الشرق الأوسط".
وتعتبر الأصول التي تم استملاكها مؤخراً في مصر واليمن علامة هامة جداً في إستراتيجية توسع شركة الكويت للطاقة عبر منطقة الشرق الأوسط وشمال أفريقيا وتدعم مكانة شركة الكويت للطاقة في هاتين الدولتين الكبيرتين حيث تأسست فيهما بشكل راسخ. وتوفر الصفقة أيضاً محفظة متوازنة من أصول الإنتاج والاستكشاف في منطقة تركيز الشركة والتي لا تعمل فقط على تكامل إستراتيجية شركة الكويت للطاقة في فرص الإستثمار قصيرة وطويلة المدى في منطقة الشرق الأوسط وشمال أفريقيا التي تعتبر مركزاً إقليمياً وإنما تسعى بالإضافة إلى ذلك إلأى تقوية ودعم المحفظة الحالية لشركة الكويت للطاقة للوفاء بأهداف الشركة المتعلقة بقاعدة الإنتاج والإحتياطيات بحلول عام 2010
