Italian to English: Finance: a stock market analyst report on a bank (July 2008)
Source text - Italian Rimbalzo dopo minimo storico di Eu 4.5 per share. Il titolo ha rimbalzato circa il 35% dai minimi toccati il 16 luglio sulla base di varie indiscrezioni riguardanti la possibile cessione del patrimonio real estate e il raggiungimento di un accordo con YYY Bank quale nuovo entrante in una jv con XXX per finanziare la new production del canale bancario.
Real Estate cap gain e jv con YYY Bank sono già nel prezzo a nostro avviso. In uno studio dello scorso 20 giugno avevamo analizzato l’ipotesi di uno scorporo del vecchio loan book e la creazione di jv con YYY Bank through which veniva veicolata tutta la new production. In tal caso, XXX sarebbe secondo noi dovuta valere Eu 4.5 per share (Eu 2.2 old bank + Eu 2.3 new bank). I giornali riportano adesso che YYY Bank potrebbe essere interessata addirittura solo alla new production proveniente da XXX shareholder banks che rappresenta circa il 35% del totale e in tal caso la valutazione della new bank potrebbe scendere addirittura di circa il 30% (ipotizzando che la new production degli canali agenti/intermediari venga persa) portando il valore di XXX combined a Eu 3.8 per share. Per quanto riguarda la cessione del real estate (operating RE and non operating RE), invece, avevamo ipotizzato una valutazione complessiva del patrimonio immobiliare di Eu 410mn con un capital gain di Eu 80 che portava la valutazione di XXX a Eu 5 per share, valutazione del RE che sembra essere in linea con le indiscrezioni che trapelano sul deal.
Eventuali sorprese negative NON SONO nel prezzo. Come detto, escludendo l’ipotesi di Opa totalitaria sul titolo (a causa di loan book oltre Eu 20bn con connesse necessità di funding, mancanza base depositi, rischio perdita agenti plurimandatari oltre potential writedowns on past loan book), riteniamo che il titolo ai prezzi attuali sia sopravvalutato. Ancora di più in quanto non tiene conto di elementi negativi che potrebbero minare la struttura patrimoniale della banca e portare a eventuale nuovo aumento di capitale. In particolare 1) potential writedowns on junior notes (Eu xxxmn) sottoscritte da XXX e che in caso di deterioramento asset quality potrebbero essere writeoffate; 2) potential provisions on Eu 20bn past loan book a causa di riduzione valore asset sottostanti leasing che renderebbe il loan to value (attualmente al 72% medio) più alto e il collateral non sufficiente a ripagare il loan da parte del cliente; 3) mismatch asset laibilities che nel caso di scadenz differenziata loans/funding porterebbe a perdite operative; 4) cause legali da parte dei clienti truffati per i derivati venduti alla clientela; 5) perdita rete agenti plurimandatari
Focus on real Estate. Ci sembra opportuno spendere qualche parola sull’esposizione di XXX al RE in quanto il potenziale deterioramento del ciclo economico insieme ai primi segnali di calo dei prezzi degli immobili potrebbe rappresentare un rischio in più per un player come XXX che ha registrato il grande balzo dei volumi proprio negli ultimi due anni grazie al RE a fronte di valutazioni già alquanto tirate. A fine ’07 il peso del leasing RE sul total loan book era pari al 52% e il loan to value (calcolato come valore finanziato/debito residuo di tutto il portafoglio crediti in essere) era pari al 72%. I finanziamenti vengono fatti sulla base di analisi cash flow azienda percettrice del finanziamento oltre che perizia immobile (valore bene di mercato + valore distressed assets). Sul tale componente del portafoglio non stimiamo al momento particolari provisions (stimando per l’intero portafoglio credit RE and non RE 52bps provisions nel ’08).
Capital ratios sicuri al momento ma…Dopo Eu 700mn rights issue portato a termine a fine ’07, la società si trova su livelli di capitale da ritenersi al momento abbastanza sicuri: secondo le nostre stime XXX dovrebbe chiudere il ’08 con un cTier1 ratio al 6.5%. Tuttavia il buffer di capitale potrebbe rivelarsi inadeguato nel caso in cui dovessero esserci nuove svalutazioni. Secondo le nostre stime XXX potrebbe compiere svalutazioni fino a Eu 100mn (o Eu 180mn includendo potenziale cap gain su RE) senza scendere sotto il 6% di cTier1 ratio; se ci dovessero essere invece maggiori writeoff allora si ripresenterebbe lo spettro dell’aumento di capitale in quanto non riteniamo che la banca possa navigare sotto il 6% di cTier1.
UNDERPERFORM confirmed, t.p. Eu 4.9. Il titolo è rimbalzato secondo noi su no news o meglio notizie (possibile closing con YYY Bank per partnership a settembre e eventuale cessione RE assets) che erano già note al mercato. Riteniamo il rimbalzo una buona occasione di vendita in quanto escludiamo al momento ipotesi di Opa totalitari e il titolo debba passare ancora per tough times sia in termini di asset quality deterioration che in termini di funding.
Translation - English Too Much Excitement Without a Rationale
Rebound after record low of €4.5 per share. The stock has bounced back about 35% from the unprecedented low it hit on 16th July, on the back of rumours that some real estate assets could be sold and that an agreement may be reached with YYY Bank, which could establish a joint venture with XXX to finance new production on the banking channel.
Our view: real estate capital gain and JV are ALREADY IN THE PRICE… In a report published 20th June, we analysed the outcome of a potential break-up of the old loan book along with the creation of a JV with YYY Bank that would become the vehicle for all new loan production. In this scenario, we would valuate XXX at €4.5 per share (€2.2 for the old loan book and €2.3 for the new bank). Moreover, recent press reports claim that YYY Bank may be interested only in new production coming from XXX’s bank-shareholders, which account for around 35% of total new production. If this were the case, then our valuation of the new bank would drop by 30% (assuming new production from the agents network is lost), taking the overall value of XXX down to €3.8 per share. With regard to the disposal of real estate assets (both operating and non-operating), we estimated a total value of €410mn (which seems to be in line with rumours surrounding a potential deal). The sale of all of these assets would result in a capital gain of €80mn, which would bring the fair value of XXX up to €5.0 per share.
…but potential negative surprises are NOT in the price. Unless there were to be a total takeover bid on the bank, we think the stock is currently overpriced, as the loan book of over €20bn implies huge funding requirements, yet the bank lacks a solid deposit base, risks losing agents and could even require write-downs on the existing loan book. The stock looks even more overpriced when considering that our estimates do not even take into account any of a plethora of potential negative elements that could undermine the bank’s capital structure and lead to another rights issue. These potential unpleasant surprises include: (1) potential write-downs on junior notes (€xxxmn) underwritten by XXX, in the event that asset quality deteriorates; (2) potential provisions on the €20bn past production loan book, due to a reduction in the value of underlying leasing assets, which would lift the loan-to-value ratio (currently 72%) even higher, leaving the bank without enough collateral to cover unpaid loans; (3) the mismatch between assets and liabilities could lead to operating losses if there are differences in the expiration dates of loans and funding; (4) lawsuits brought by defrauded customers (regarding derivative instruments sold to them) may come to an unwelcome conclusion for XXX; (5) some or all multi-mandate agents could be lost.
Focus on real estate. It seems worthwhile to say a few words about XXX’s exposure to real estate, because the potential economic downturn, with signs of a decrease in property prices, could represent an additional risk for players like XXX that saw volumes soar during the last couple of years thanks to the real estate boom when valuations were stretched. As of the end of 2007, real estate leasing represented 52% of the total loan book value, and the loan-to-value ratio (value issued divided by residual debt for the portfolio of all existing loans) was 72%. Financing is granted based on a cash flow analysis of the company seeking the loan and on an assessment of the property (market value plus the value of distressed assets). For this component of the portfolio, we are currently not factoring in any provisions – our provisions estimate for the entire credit portfolio is 52bps for ’08.
Capital ratios safe…for now. After the €700mn rights issue completed at the end of ’07, the company can now say its capital levels are secure enough: we estimate XXX will close ’08 with a 6.5% cTier1 ratio. However, this buffer of capital could turn out to be inadequate if new write-offs or write-downs are needed. We estimate XXX could write off as much as €100mn (or €180mn including the potential real estate capital gain) without the capital ratio falling below 6%. But if more write-offs are required, the spectre of a rights issue would return, since we don’t think the bank can run its cTier1 rate below 6%.
UNDERPERFORM, target price €4.9 confirmed. The stock rebounded on the back of “news” (a potential partnership with YYY Bank and potential real estate asset sale) that the market was actually already aware of. We believe this rebound presents a good sell opportunity, as we are ruling out the possibility of a complete takeover bid at the moment, and furthermore, the bank has more tough times to get through in terms of both asset quality and funding.

IL CAIRO - Sono i 19 ettari di deserto dove si è consumata la sconfitta dell'Asse in Nord Africa. Tra Alessandria d'Egitto e il confine libico c'è il sacrario di El Alamein, dove sono seppellite le spoglie di 5.200 soldati italiani (2mila senza nome), perlopiù della brigata Folgore, caduti nell'estate del 1942 nello scontro finale con l'VIII armata inglese. Quel terreno a breve diventerà territorio italiano a tutti gli effetti: l'accordo tra Italia ed Egitto dovrebbe arrivare nelle prossime settimane, prima della visita del presidente della Repubblica, Giorgio Napolitano, dal 24 al 29 ottobre.
Ieri il ministro degli Esteri, Franco Frattini, ha consegnato al presidente egiziano, Hosni Mubarak, una lettera del premier, Silvio Berlusconi, che chiede di accelerare una pratica già avviata dal predecessore Romano Prodi. Del resto i sacrari di Germania e Gran Bretagna sono extra territoriali da molto tempo, mentre per l'Italia la questione si è posta da pochi anni. Diversi ministri della Difesa hanno visitato il sacrario e la vicina stele posta a "quota 33" - dove è scolpito «Mancò la fortuna, non il valore» - e ora la chiusura dell'accordo per il passaggio di proprietà sembra alle porte.
Per contro, l'Italia si impegnerà a versare nei prossimi anni fino a 400 milioni di euro da destinare al programma dell'Onu per lo sminamento dell'area. Nella lettera Berlusconi ha anche chiesto a Mubarak di concedere l'espatrio verso l'Italia di 18 salme di caduti, chiesto dalle famiglie nel 2003. Il sacrario è stato completato a fine anni 50 e nel tempo è stato oggetto di critiche per il pessimo stato di mantenimento: ma l'aria negli ultimi anni è cambiata, e ora è in buono stato. Inoltre la zona si va ripopolando, e c'è il rischio che l'area possa essere soggetta a speculazioni edilizie: da qui la richiesta di accelerare la pratica.
La visita lampo di Frattini è servita a monitorare i vari dossier italo-egiziani. L'Italia donerà al Cairo 8 milioni di euro per la ristrutturazione delle ferrovie egiziane.
LA VICENDA
Tre battaglie
El Alamein significa «la collina delle vette gemelle»: l'altura si trova a 120 chilometri da Alessandria d'Egitto e a 3 dal mare.
Il complesso monumentale fu realizzato nel 1959 su progetto di Paolo Caccia Dominioni, ufficiale del genio reduce di El Alamein. La Torre ossario (alta 31 metri) raccoglie i resti di 5.200 italiani morti durante le tre sanguinose battaglie di El Alamein durante la seconda guerra mondiale.
È vicina la firma dell'accordo con l'Egitto per far diventare il complesso territorio italiano.
Translation - English El Alamein Sacrario Will Soon Be Italian Territory

CAIRO – Nineteen hectares of desert where the Axis’ defeat in North Africa was completed. Between Alexandria, Egypt and the Libyan border is the Sacrario of El Alamein, where the remains of 5,200 soldiers, 2,000 unnamed, are buried. Most belonged to the Folgore brigade; they fell in the final battle with the 8th English armada in the summer of 1942. This land will soon become Italian territory to all intents and purposes: an agreement between Italy and Egypt should be made in the next few weeks, before the scheduled visit, from 24th to 29th October, of President of the Republic Giorgio Napolitano.
Yesterday, the Minister of Foreign Affairs, Franco Frattini, handed Egyptian President Hosni Mubarak a letter from Prime Minister Silvio Berlusconi, who is asking to speed up a procedure that was begun under his predecessor Romano Prodi. The memorials for Germany and Great Britain have enjoyed extraterritoriality for some time, but the issue of the Italian site has only been under consideration for a few years. Several Defence ministers have visited the Sacrario and the nearby stele at “quota 33”, where an engraving reads “Mancò la fortuna, non il valore” (“Fortune ran out, but valour did not”). It now appears that an agreement for the transfer of this property is on the horizon.
However, Italy will make a commitment to disburse up to €400 million towards the UN program to clear mines from the area. In his letter, Berlusconi also asked Mubarak to allow the corpses of 18 fallen soldiers to be sent to Italy, as requested by their families in 2003. The Sacrario was completed at the end of the ’50s and over time, it has been much criticised for poor maintenance. But the tide has turned in recent years and it is now in good condition. Furthermore, the area is repopulating and perhaps risks becoming a victim of building speculations: it is for this reason that Italy has asked to speed up the process.
Frattini’s short visit served to monitor the various Italo-Egyptian diplomacy matters. Italy will donate €8 million to Cairo to help restructure the Egyptian railroads.
THE SITUATION IN BRIEF
Three battles
El Alamein means “the hill with twin peaks.” It is located 120km from Alexandria and 3km from the sea.
The memorial complex was built in 1959, designed by Paolo Caccia Dominioni, a corps of engineers officer and survivor of the battles of El Alamein. The 31-metre high charnel house tower carries the remains of 5,200 Italians who died during the three bloody battles which took place there in World War II.
An agreement should soon be reached with Egypt to turn the complex into Italian territory.

Automobile, aides publiques et licenciements
Rarement l’argent public n’aura été aussi disponible pour les groupes privés. Rarement les suppressions d’emploi auront été aussi massives. Le géant américain General Motors, qui a reçu 9,4 milliards depuis la fin 2008, a ouvert, le 12 février, un « guichet de départs volontaires » à destination de ses 62 000 salariés syndiqués, qui bénéficient de prestations sociales solides et dont la direction veut se débarrasser. Quelques jours auparavant, il avait annoncé la suppression de 10 000 emplois de « cols blancs » dans ses usines du monde entier. Bénéficiaires des deniers de l’Etat, Ford et Chrysler prévoient également des réductions d’effectifs.
En France, les deux groupes Renault et Peugeot–Citroën vont recevoir trois milliards d’euros chacun. Il s’agit, nous dit-on, d’un prêt. On peut se demander, alors, à quoi servent les banques auxquelles le pouvoir a déjà octroyé 360 milliards d’euros pour garantir les prêts qu’elles sont censées accorder aux entreprises nationales… Pendant plusieurs jours, le gouvernement a tenu le public en haleine pour savoir quelles seraient les contreparties sociales réclamées aux fabricants automobiles. Et d’annoncer, triomphant, le fruit de ses dures tractations avec le patronat : interdiction de délocaliser (Renault fabrique déjà à l’étranger 40 % de ses voitures vendues en France) et interdiction de « mettre en œuvre un plan de licenciement en France ». Interdiction entendue par Peugeot qui a annoncé… « un plan social » de 6 000 suppressions d’emploi (départs volontaires, préretraites…). Ce qui, on en conviendra, change tout. Commentaire de Bercy : « Peugeot a une communication un peu maladroite. » Une politique cynique surtout, à l’image de celle du gouvernement. Rappelons qu’entre 2000 et 2007 près de 20 000 emplois ont été supprimés chez les constructeurs et 14 000 chez les équipementiers.

Automobiles, State Aid and Layoffs
Rarely has money been so readily available to private groups. Rarely have layoffs been so massive. American giant General Motors, which has received 9.4 billion [dollars/euros?] since late 2008, opened a “voluntary departure window” on February 12th to its 62,000 unionized employees, who receive solid benefit packages and who the management wants to get rid of. A few days earlier, the company had announced it was cutting 10,000 “white collar” jobs in its factories worldwide. Also beneficiaries of state funds, Ford and Chrysler are likewise envisaging work force reductions.
In France, the two largest auto groups Renault and Peugeot-Citroën will receive three billion euros each. We’re told it’s only a loan. One might wonder, then, what the banks are useful for, when the government in power has already allocated them 360 billion euros to guarantee the loans they are supposed to be granting to French companies. For several days, the government held the public in suspense as they looked forward to learn what social welfare compensation would be demanded of the manufacturers in return. It announced, triumphantly, the fruit of hard bargaining with the management: a ban on shifting further jobs abroad (Renault already manufactures abroad 40% of the cars it sells in France) and a ban on “implementing a layoff plan in France.” This ban was well understood by Peugeot, which announced a “social plan” to cut 6,000 jobs through voluntary resignations, early retirements and so on. Which, one must admit, is completely different. The comment from the Ministry of Economy, Finance and Industry? “Peugeot’s communication is a bit clumsy.” Above all, it’s a cynical policy that reflects the government’s. Let's keep in mind that between 2000 and 2007, nearly 20,000 construction jobs and 14,000 equipment manufacturing jobs were eliminated.

Source text - Italian 4 - L'OLMO RIFIORITO
In piazza San Giovanni, tra la porta nord dell'antichissimo Battistero dedicato a San Giovanni Battista ed il Palazzo Arcivescovile, già residenza dei vescovi fiorentini fin dal IX secolo, quasi persa nella grandezza dei monumenti a lei vicini, si trova la Colonna di San Zanobi. Nei nostri vari giri per la città ci saremo passati davanti decine di volte ma non mi sono mai fermato per narrarti la sua storia, quindi approfitto dell’occasione per colmare questa lacuna.
La colonna fu posta a ricordo di un vecchio olmo, che il 26 gennaio dell'anno 429 improvvisamente rinverdì al passaggio della salma del vescovo Zanobi, traslata dalla vicina chiesa di San Lorenzo a quella che allora era dedicata a Santa Reparata e che oggi è il duomo di Firenze. Da quel momento l'albero fu devotamente venerato fino a quando, nuovamente secco per vetustà, venne ridotto a pezzi dal popolo che desiderava avere una reliquia. Una di queste "reliquie" è conservata nel Museo dell'Opera del Duomo: si tratta di un dipinto dovuto al pennello del cosiddetto Maestro del Bigallo, il quale in un dossale d'altare raffigurò San Zanobi e scene della sua vita, proprio su una tavola ricavata dall'eccezionale olmo. A perenne ricordo del miracoloso evento, nel preciso punto dove fiorì l'olmo appena sfiorato dalla bara del santo, fu innalzata la colonna, con croce lobata sulla cima e decorata sul fusto con un piccolo olmo ed una corona candelabro a cingere il capitello.
Sai quanto mi piace citare autori che parlano della mia città, quindi, pur nella tensione della nostra ricerca, non perdo l’occasione di riferire su particolari eventi poco o per nulla conosciuti. Una volta passata la tempesta, potrai magari far tesoro di questi miei suggerimenti e con calma andarti a leggere quello che ti ho consigliato.
Comunque, tornando a noi…
Cesare Torricelli nel suo Da Firenze … a Firenze ricorda l'episodio narrato in ottava rima da Bernardo Giambullari:
Alla piazza del Duomo in sull'entrata / V'era un gran' olmo secco ritto in piede / Onde passando, per un onda data / Il cataletto alquanto all'olmo cede: / Né prima tocco l'ebbe che mostrata / Mirabil cosa fu come si vede, / Che l'olmo secco in un istante fuori / Tutto coperto fu di fronde e fiori.
Il poeta continua a narrare e conclude così:
Posto vi fu quella colonna in segno / E per memoria del miracol degno.
Un altro scrittore, il cronista Giovanni Villani nel suo libro della Cronaca, ci narra invece che il 4 novembre 1333 a seguito della grande alluvione definita addirittura un diluvio, "abbattè in terra la colonna con la croce del segno di San Zanobi che era sulla piazza". Un anno dopo essa veniva rialzata e nel 1338 una nuova croce ne coronò la cima.
Anche oggi, a ricordo della fioritura miracolosa dell'olmo, per consuetudine rituale, il 26 gennaio viene posta alla base di questa colonna, una ghirlanda di garofani bianchi e rossi, colori cardini dell'araldica fiorentina.
Questo importante e significativo ricordo, ricolmo di storia e legato al culto cristiano, merita un’attenta riflessione anche se la colonna non prende, naturalmente, il sopravvento sull’ambiente monumentale della piazza: la gente però qui si ferma e cerca. Qui è il caso che ti fermi e cerchi anche tu ciò che ti chiederò di trovare, soprattutto perché la fioritura miracolosa dell’olmo può collegarsi con qualche energia sconosciuta, forse proprio a quella diffusa dal meteorite.

Translation - English 4 – THE ELM THAT BLOSSOMED ANEW
In Piazza San Giovanni, between the north door of the Baptistery of St. John and the Archbishop’s Palace, formerly the residence of Florentine bishops going as far back as the 9th century, and almost lost amidst the immensity of the monuments near it, stands the Column of Saint Zenobius. In our various walks around the city we must have passed in front of this column dozens of times, but I haven't stopped to tell you about it yet, so I’ll take this opportunity to fill that void.
The column was erected in remembrance of an old elm tree that, on January 26th of the year 429, suddenly grew green again as the corpse of Bishop Zenobius passed by it – his body was being moved from San Lorenzo church to what was then Santa Reparata (and is now the Duomo). From that moment on, the tree was devoutly venerated until, once again dried up from old age, it was finally reduced to bits by the people, as everyone wanted to keep a piece of it as a relic. One of these relics is preserved in the Museo dell’Opera del Duomo: it is an altar-piece attributed to the paintbrush of Maestro del Bigallo, depicting Saint Zenobius and scenes of his life on a table carved out of that extraordinary elm. As a permanent reminder of the miraculous event, a column was erected precisely at the spot where the elm blossomed upon being touched by the saint’s coffin. The column has a lobed cross at the top; the shaft is decorated with a small elm and a crown-shaped candelabrum that encircles the capital.
You know how much I love quoting authors who write about my city, so in spite of the tension of our search, I can’t miss this chance to refer to some singular events that are unknown, or at least known to very few. Once the storm blows over, you can bear my suggestions in mind, take your time, and go read what I’ve suggested.
Anyway, to get on with the quotes… Cesare Torricelli, in his book Da Firenze -- a Firenze [From Florence -- to Florence] is reminded of an episode narrated by Bernardo Giambullari in ottava rima:
At the Cathedral square right at the entrance
There once stood a big dry elm;
When passing by, as it drew near
The casket brushed the elm by chance;
As soon as this touch had happened,
A marvelous thing was seen:
The dry elm in the blink of an eye
Was all covered in fronds and flowers.
The poet continues on and concludes:
That column was placed as a sign
To remember the praiseworthy miracle.
Another writer, the chronicler Giovanni Villani, tells us that on November 4th, 1333, the great flood “struck to the ground the column with the cross in memory of Saint Zenobius that had been in the square.” A year later, the column was put back up again and in 1338, a new cross crowned the top of it.
Still today, as a reminder of the miraculous blossoming of the elm, every January 26th a wreath of red and white carnations is laid at the base of the column (red and white are the colors of the Florentine heraldry).
This important tribute, filled to the brim with history, and associated with the Christian religion, merits careful reflection even if, naturally, the column doesn’t steal the show in this monumental square. People nonetheless stop here and look. You would be well advised to stop and look here yourself, to find what I ask you to look for, because that miraculous blossoming of the elm could somehow be connected with an obscure form of energy, perhaps of the kind that was spread by the meteorite.
