АО ХОЛДИНГ
По вопросу повестки дня: «О рассмотрении проектов внутренних документов и показателей корпоративной системы управления рисками группы компаний АО ХОЛДИНГ (далее – КОМПАНИЯ) на 2015 год»
В соответствии с Регламентом корпоративной системы управления рисками группы компаний КОМПАНИЯ (далее – Регламент), утвержденным решением Правления КОМПАНИЯ от 12.09.2014г. №14, документы по рискам (регистры и карты рисков, планы мероприятий, основные параметры отношения к рискам) формируются на ежегодной основе в начале календарного года.
В связи с этим, Департаментом внутреннего контроля и управления рисками проведена актуализация документов по рискам на 2015 год с учетом текущих условий в группе компаний КОМПАНИЯ.
Регистры и Карты рисков КОМПАНИЯ и группы компаний КОМПАНИЯ
В марте 2015г. подготовлены следующие документы:
1) Регистр и Карта рисков КОМПАНИЯ.
Регистр рисков КОМПАНИЯ включает в себя 25 рисков, из них:
стратегических рисков – 3;
операционных рисков – 16;
финансовых рисков и рисков отчетности – 5;
рисков несоответствия требованиям (комплаенс) - 1.
Более детальная информация по рискам КОМПАНИЯ приведена в Приложении 1 к настоящей пояснительной записке.
2) Консолидированный Регистр и Карта ключевых рисков группы компаний КОМПАНИЯ.
Ключевыми рисками являются риски группы компаний КОМПАНИЯ, характеризующиеся высокими/средними значениями вероятности и/или размера возможного ущерба. По группе компаний КОМПАНИЯ определено 17 ключевых рисков, из них:
стратегических рисков - 4;
операционных рисков - 12;
финансовых рисков – 1.
Правлением КОМПАНИЯ принято решение от 13.03.15г. №5 об одобрении Регистров и Карт рисков КОМПАНИЯ и группы компаний КОМПАНИЯ и вынесении их на рассмотрение Совета директоров КОМПАНИЯ (копия выписки прилагается).
План мероприятий по снижению ключевых рисков группы компаний КОМПАНИЯ
В целях минимизации ключевых рисков совместно со структурными подразделениями КОМПАНИЯ и дочерними организациями подготовлен консолидированный План мероприятий по управлению ключевыми рисками группы компаний КОМПАНИЯ (далее – План мероприятий). План мероприятий включает мероприятия по снижению ключевых рисков, в том числе мероприятия, предусмотренные Планом мероприятий за 2014 год в рамках коммерциализации деятельности группы компаний КОМПАНИЯ, сроки их исполнения и ответственные лица.
При этом отмечаем, что в соответствии с пп. 11 п. 23 Регламента, а также рекомендацией независимого директора КОМПАНИЯ Совет директоров одобряет План мероприятий, а его утверждение относится к компетенции Правления КОМПАНИЯ. План мероприятий утвержден решением Правления КОМПАНИЯ от 14.04.2015г. №6 и выносится на одобрение Совета директоров КОМПАНИЯ (копия выписки прилагается).
Основные параметры отношения к ключевым рискам группы компаний КОМПАНИЯ
С целью мониторинга ключевых рисков в соответствии с Политикой управления рисками КОМПАНИЯ разработаны следующие основные параметры отношения к рискам на 2015 год:
- собственная удерживающая способность и риск-аппетит группы компаний и в разрезе дочерних организаций КОМПАНИЯ;
- уровни толерантности к рискам группы компаний КОМПАНИЯ;
- ключевые рисковые показатели группы компаний КОМПАНИЯ.
Собственная удерживающая способность группы компаний КОМПАНИЯ составляет 5 113 686 тыс. тенге. Риск-аппетит группы компаний КОМПАНИЯ определен в размере 3 527 686 тыс. тенге.
Кроме того, разработаны уровни толерантности к ключевым рискам группы компаний КОМПАНИЯ, которые влияют на достижение целей, в количестве 5 показателей.
Ключевые рисковые показатели позволяют получить сигнал о необходимости принятия мер предупредительного реагирования на риск. Для ключевых рисков группы компаний КОМПАНИЯ определено 13 ключевых рисковых показателя.
Правлением КОМПАНИЯ принято решение от 14.04.2015г. №6 об одобрении основных параметров отношения к рискам (копия выписки прилагается).
На основании изложенного и в соответствии с пунктами 24, 25, 40 Приложения 1 и пунктом 19 Приложения 2 Классификатора внутренних нормативных документов группы компаний КОМПАНИЯ, утвержденного решением Совета директоров КОМПАНИЯ от 03.09.2014г. №6, на рассмотрение Совета директоров выносятся следующие документы и показатели корпоративной системы управления рисками:
- Регистр и Карта рисков КОМПАНИЯ;
- Консолидированный Регистр и Карта ключевых рисков группы компаний КОМПАНИЯ;
- План мероприятий;
- основные параметры отношения к рискам (собственная удерживающая способность, риск-аппетит, уровни толерантности, ключевые рисковые показатели).

Regarding the agenda issue: On consideration of design internal documents and indicators of corporate risk management system of the group of companies of HOLDING JSC (hereinafter - THE COMPANY) for 2015”
In accordance with the Regulations for Corporate Risk Management of the group of companies of THE COMPANY (hereinafter - Regulations), approved by the Management Board of THE COMPANY dated September 12, 2014, No.14, the documents on risk (registers and risk maps, action plans, basic parameters of attitude to risk) shall be developed on an annual basis at the beginning of the calendar year.
In this regard the Department of Internal Control and Risk Management had updated documents on the risks for 2015 taking into account the current conditions in the group of companies of THE COMPANY.
Registers and Risk Maps of THE COMPANY and group of companies of THE COMPANY.
In March, 2015 the following documents have been developed:
1) Register and Risk Map of THE COMPANY.
Risk Register of THE COMPANY has 25 risks, including:
strategic risks - 3;
operational risks - 16;
financial and reporting risks - 5;
risk of non-compliance (compliance) - 1.
More detailed information on the risks of THE COMPANY is provided in Annex 1 to this executive summary.
2) Consolidated Register and Key Risk Map of the group of companies of THE COMPANY.
The key risks are the risk of the group of companies of THE COMPANY characterized by high / average values of the probability and / or the size of possible damage. In the group of companies of THE COMPANY there were identified 17 key risks, including:
strategic risks - 4;
operational risks - 12;
financial risk - 1.

The action plan on reduction of the key risks of the group of companies of THE COMPANY.
In order to minimize key risks, together with structural divisions of THE COMPANY and subsidiaries there was developed the consolidated action plan for management of key risks of the group of companies of THE COMPANY (hereinafter - Action plan). The Action plan includes measures aimed to reduce the key risks, including those which are provided in the Action plan for 2014 within the framework of the commercialization of the group of companies of THE COMPANY, the timing of their execution and responsible executives.
It shall be noted that, in accordance with Subparagraph 11, Paragraph 23 of the Regulations, as well as the recommendation of an Independent Director of THE COMPANY, the Board of Directors accepts the Action plan, and its approval is the responsibility of the Management Board of THE COMPANY. The Action plan was approved by the decision of the Management Board of THE COMPANY dated April 14, 2015, No.6 and submitted for the acceptance by the Board of Directors of THE COMPANY (copy of extract attached).
The main parameters of relations to key risks of the group of companies of THE COMPANY.
In order to monitor the key risks in accordance with the Risk Management Policy of THE COMPANY the following basic parameters of the relations to the risks for 2015 have been developed:
- own retention capacity and risk appetite of the group of companies and in the context of subsidiaries of THE COMPANY;
- levels of tolerance to risk of the group of companies of THE COMPANY;
- key risk indicators of the group of companies of THE COMPANY.
Own retention capacity of the group of companies of THE COMPANY is KZT 5,113,686 thousand. Risk appetite of the group of companies of THE COMPANY is set at KZT 3,527,686 thousand.
Additionally there were designed levels of tolerance to the key risks of the group of companies of THE COMPANY, which affect the achievement of the objectives of 5 indicators.
Key risk indicators allow getting a signal on the need for preventive measures to respond to risk. For the key risks of the group of companies of THE COMPANY there were identified 13 key risk indicators.
Management Board of THE COMPANY decided on April 14, 2015, No.6 to approve the main parameters of relations to risk (copy of extract attached).
Based on the foregoing and in accordance with Paragraphs 24, 25, 40 and Annex 1, and Paragraph 19 of Annex 2 of the Classifier of internal regulations of the group companies of THE COMPANY approved by the Board of Directors of THE COMPANY dated September 3, 2014, No.6, to the review of the Board of Directors shall be submitted the following documents and indicators of corporate risk management system:
- Register and Risk Map of THE COMPANY;
- Consolidated Register and Key Risks Map of the group of companies of THE COMPANY;
- Action plan;
- Main parameters of relations to risk (own retention capacity, risk appetite and tolerance levels, key risk indicators).
