Source text - English AMENDMENT TO THE MEMORANDUM OF ASSOCIATION OF FORBESLINE SHIPPING SERVICES LIMITED LIABILITY COMPANY
This Agreement is a supplement to the Memorandum of Association of Forbesline Shipping Services LLC dated 17 December 2012 (the “Memorandum”).
1. Mr. Mohammad Ibrahim Mohammad Alhaj, a United Arab Emirates national, holding passport number A2583677, of address PO Box No. [ ● ], Dubai, United Arab Emirates (the “First Party”);
And
2. Forbes Container Line Pte Ltd, a company incorporated in Singapore having its registered address at [ ● ], represented by Mr. Padmakumar Unnikrishnan (the “Second Party”).
hereinafter together referred to as the (“Parties”).
RECITALS:
Whereas:
The First Party together with the Second Party has incorporated a Limited Liability Company by the name Forbesline Shipping Services LLC, pursuant to a Memorandum of Association dated 17 December 2012 registered with the notary public of Dubai under registration number [ ● ] (the “Company”).
The Parties hereto now wish to add to or amend certain clauses of the Memorandum.
NOW THEREFORE IT IS HEREBY AGREED AS FOLLOWS:
1. Article 7 Transfer of Shares, shall be added to as follows:
Should the UAE Company Commercial law be amended to reduce or eliminate the minimum UAE national shareholding requirement, the First Party undertakes to transfer all his shares (or a number of shares equivalent to the permitted reduction under the law) to the Second Party or to a person nominated by the Second Party, at a price which shall not exceed the nominal value of the share (i.e. AED 1,000 per share) within one (1) month from the effective date of the new law.
2. Article 9.3 Management of the Company, shall be deleted and substituted with the following:
The Director shall be appointed by the Second Party and he may be removed only by the Second Party. Mr. Padmakumar Unnikrishnan has been appointed as the sole Director of the Company.
All costs of managing and operating the Company shall be to the account of the Company.
A Director shall not be disqualified from contracting with the Company so long as its interest is disclosed to the Company.
The remuneration of the Director shall be determined and revised by the Second Party from time to time.
The Director shall have all the powers necessary for management and operation of the Company including, without limitation, the following powers:
1. to represent the Company in all its business activities before all persons and entities, including without limitation, governmental authorities, quasi governmental and public authorities including municipalities, chambers of commerce, commercial registry, all federal and emirate government departments, courts and tribunals, banks and other commercial entities and public and private sector organizations and individuals of any nature whatsoever;
2. to take all steps necessary and proper for the conduct and management of the affairs of the Company, and determine, adopt and execute all policies and relating to the administration of the Company, including exercising the right to employ, terminate the employment, discharge and determine the terms of service of personnel employed by the Company;
3. to open, close and operate all bank accounts of the Company and, generally, attend to all banking transactions;
4. to negotiate and enter into contracts relating to the business of the Company, including the lease, purchase or sale of assets, equipment, machinery, automobiles, materials, goods, supplies, services and any other facilities required by the Company and to register those assets;
5. to ask, demand, sue for, recover and receive all manner of goods, chattels, debts, rents, interest, sums of money, and demands whatsoever, due or hereafter to become due and owing or belonging to the Company, and to make, give, and execute receipts and releases;
6. to make, execute, endorse, accept, and deliver for and on behalf of the Company, all cheques, notes, drafts, acknowledgements, agreements and all other instruments in writing, of whatsoever nature;
7. to take all steps necessary to execute, perform and fulfill the terms and conditions of any agreements, contracts, deeds, assignments, mortgages, releases, covenants or other instruments;
8. to take all steps and to do all things as may be necessary in furtherance of carrying on and realization of the principal objects of the Company;
9. to take all steps and to do all things as may be necessary in furtherance of carrying on and realization of the principal objects of the Company;
10. to appear before any registration or other authorities whatsoever, for and on behalf of the Company, and there to present for registration, admit execution, and do all acts, deeds and things as may be necessary to secure the registration of any instrument or writing relating to the Company;
11. to represent the Company before all courts, tribunals and administrative authorities, as a claimant, defendant or plaintiff, with full power to grant powers of attorney on behalf of the Company including the powers provided by Article 58 of the Civil Procedures Code No. 11 of 1992 to lawyers and to revoke the same;
12. to purchase, sell and acquire shares in all types of companies in and outside the United Arab Emirates, and in that regard to sign share transfer agreements from and to the Company, amendments to memorandum of association of the respective companies and to take all the procedures necessary for registration of the said transfers.
13. to delegate to any person any or all of the powers hereby conferred on such terms and conditions, to grant powers of attorney and to revoke the same;
14. To purchase, sell, hire any heavy/light trucks, cars, buses and any other assets and vehicles as required by the Company for its operations.
15. and generally, to do, execute and perform and finish for the Company and in its name, all those things which shall be expedient and necessary, in and about or concerning the rights hereby conferred, or any of them, as fully as the Company could do including but not limited to signing any management service agreement with the Second Party or its affiliate or associate for the entire of the duration of the Company.
3. Article 11 of the Memorandum shall be deleted and substituted as follows:
Article 11: The General Assembly
1. The company shall have a General Assembly composed of all the partners. The General Assembly shall be convened at the invitation of the director at least once yearly on the date and the place to be determined by the director during the four months following the end of financial year.
2. Invitation to attend the General Assembly if so required by the board of directors, if any or number of partner holding not less than one quarter of the capital. Invitations to attend the General Assembly shall be sent by registered mail with acknowledgement of receipt addressed to each partner at least twenty one days before the date of meeting. The invitation must include the particulars of the agenda and place, date and time of the meeting.
3. Every Partner shall have the right to attend the General Assembly irrespective of the number of shares he owns. A partner may by proxy, delegate another partner other than the directors to represent him in a general assembly. Each Partner shall have a number of votes equal to the number of shares he owns or represent.
4. The agenda for the Annual General Assembly must include the following matters:
a)Determination of the share in the profits to be distributed among the partners
b)Discussion an adoption of the balance sheet and profit and loss account
c) Appointment of the Director or members determination of their remuneration
d) Any other matter within its competence in accordance with the provisions of the Commercial Companies Law or this Memorandum.
5. The General Assembly may not deliberate matters not included in the agenda unless serious issues are disclosed at the meeting which require discussion. Should any one of the Partners request the inclusion of a specific matter on the agenda, the Director must do so, but if he fails to do so, the partner has the right to appeal to the General Assembly.
6. Every Partner shall have the right to discuss matters included in the agenda. The Director is obliged to reply to any Partner/s question, provided that, it is not detrimental to the Company’s interest. Should one of the partners consider the reply of the Director to be insufficient, he may appeal to General Assembly whose resolution shall be binding.
7. Resolution of the General Assembly shall not be valid unless adopted by a number of partners representing at least (75%) of the capital of the Company. If such majority is not achieved during the first meeting, a second meeting shall be convinced within twenty one days following the first meeting. Resolution at this meeting shall be adopted by three quarters (3/4 of the votes represented thereat.
8. The Director may not participate in voting in on resolutions relating to discharge of his responsibility for the management.
9. Minutes adequately summarizing the discussions of the General Assembly should be prepared. The minutes and resolutions of the General Assembly should be recorded in a special register kept at the Company/s head office. Any of the partners may review the register personally or through an attorney. They may also review Company’s balance sheet, profit and loss account and annual report.
10. Without prejudice to the rights of the third parties acting in good faith a resolution adopted at a general assembly in violation of the provisions of the commercial companies law or this memorandum, benefiting certain partners or causing damage to other partners without due consideration to the Company, shall be void. In this event, only partners who had objected to adoption of the said resolution or those were unable to object thereto for acceptable reasons, may request the nullification of the resolution. A nullification resolution shall be considered as void for all partners.
4. Article 12 of the Memorandum shall be deleted and substituted as follows:
Article 12: GUARANTEE
If any partner or director provides any personal guarantees to banks, creditors or financial institutions in connections with the business/credit facilities required by the Company, such partner or director shall be entitled to such guarantees commissions as may be approved by the resolutions of the Directors.
5. Article 21 of the Memorandum shall be deleted and substituted as follows:
Article (21): Miscellaneous:
21.1 The Company shall not have been a corporate personality and shall not be allowed to perform its business until its registered in the Commercial Register. Individuals shall be jointly liable for all acts or transactions performed on behalf of the Company by them prior to its registration.
21.2 matters not provided for in this memorandum shall be subject to the provisions of the commercial companies law and its amendments and ministerial decisions made in the implementation thereof.
21.3 This memorandum and any amendments thereto shall be written in Arabic language and notarized by the competent authority otherwise this memorandum or amendments shall be void should there be any amendments made to this documents such amendments must be annexed hereto.
6. Article 22 shall be deleted and substituted as follows:
Any disputes or claims arising out of or in connection with its subject matter (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Dubai International Financial Centre (the “DIFC”)
The parties irrevocably agree that the courts of the DIFC shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with, including as to enforcement, these terms (including non-contractual disputes or claims).
7. A new Article 24 shall be added to the Memorandum as follows:
Article 24: Non-Competition
The First Party shall not directly or indirectly through any associates set up another business in any of the GCC countries to compete with the service provided by the Company during the existence of this Agreement or ten (10) years after the termination or determination of this agreement. However the Second party will have the right to set up similar businesses in U.A.E. or any other country including GCC countries to provide similar or other services anywhere else either directly or indirectly during the term of this Agreement or thereafter.
8. A new Article 25 shall be added to the Memorandum as follows:
Article 25: Intellectual Property Rights
The trademark ‘‘●” belongs to [ ● ]. The Second Party may directly or indirectly obtain the necessary license to use such trade mark and right to make use of such trade mark or the trade name of the Company and to make use of the same for the Company’s business. The First Party shall not claim any right whatsoever upon such trademark, trade name or brand name and any such intellectual property right that may be owned either by the Second Party or by way of license granted by any third party. It is agreed that the all the services provided by the Company shall bear only the brand name proposed by the Second Party at its sole discretion. The First Party shall not make any attempt whatsoever, whether directly or indirectly, to use or permit anyone else to use the trademark or any intellectual property either owned directly by the Second Party or arranged to be used by the Second Party under license or otherwise. The First Party will neither register nor cause to register any such intellectual property right in its name or in the name of third Parties in any country. If the Second Party is no longer a shareholder in the Company, the First Party shall immediately cease to use the trademark, trade name or any intellectual property in relation to the Company within 30 days of the Second Party ceasing to be a shareholder.
9. The remainder of the clauses of the Memorandum shall remain unamended and shall remain in full force and effect.

Translation - Arabic تعديل عقد تأسيس شركة فوربيس لاين لخدمات النقل البحري ش.ذ.م.م
تعتبر هذه الاتفاقية ملحقاً لعقد تأسيس شركة فوربيس لاين لخدمات النقل البحري ش.ذ.م.م المبرم بتاريخ 17 ديسمبر 2012 م ("عقد التأسيس")
1. السيد/محمد إبراهيم محمد الحاج، إماراتي الجنسية، حامل جواز سفر رقم: ع2583677، وعنوانه: ص.ب: 6306، دبي، الإمرات العربية المتحدة ("الطرف الأول")
و
2. فربيس كونتينر لاين بي تي إي ليمتد، وهي شركة قائمة في سنغافورة وعنوانها المسجل في: (19 طريق كيبيل، 03-08،بناية جيتبوه، سنغافورة )، ويمثلها السيد/بادماكومار أونيكريشنان ("الطرف الثاني")
ويشار إليهما مجتمعين بـ ("الطرفين")
الحيثيات:
حيث أن:
الطرف الأول و الطرف الثاني قد قاما بتأسيس شركة ذات مسئولية محدودة تحمل اسم : فوربيس لاين لخدمات النقل البحري ش.ذ.م.م ، بموجب عقد تأسيس مبرم بتاريخ 17 ديسمبر 2012م ومسجل لدى الكاتب العدل بدبي تحت رقم التسجيل: 681593 ("الشركة")؛
فإن الطرفين يرغبان الآن في إضافة أو تعديل بنود محددة في عقد التأسيس.
عليه فقد اتفق الطرفان على ما يلي:
1. يتم إضافة ما يلي للبند 7 المسمى (تحويل الأسهم) ليقرأ :
إذا تم تعديل قانون الشركات التجارية في دولة الإمارات العربية المتحدة لتخفيض أو إلغاء أقل متطلبات لامتلاك الأسهم للمواطنين الإماراتيين، يتعهد الطرف الأول بتحويل كل أسهمه (أو عدد من الأسهم يعادل التخفيض المسموح به بموجب القانون) إلى الطرف الثاني أو إلى أي شخص آخر يسميه الطرف الثاني، بسعر لا يتجاوز القيمة الاسمية للسهم الواحد (أي 1000 درهم للسهم الواحد) وذلك خلال شهر واحد من تاريخ سريان القانون الجديد.
2. يتم حذف البند 9-3 المسمى (إدارة الشركة) ويستبدل بما يلي:
يتم تعيين المدير بواسطة الطرف الثاني ويجوز عزله فقط بواسطة الطرف الثاني، وقد تم تعيين السيد/بادماكومار أونيكريشنان كمدير حصري للشركة.
تكون كل تكاليف إدارة وتشغيل الشركة على حساب الشركة.
يجب عدم حرمان أي مدير للشركة من التعاقد مع الشركة طالما أفصح للشركة عن مصلحته في التعاقد.
يتم تحديد مكافآت المدير بواسطة الطرف الثاني وله الحق في مراجعتها من حين لآخر.
يكون للمدير الصلاحيات اللازمة لإدارة وتشغيل الشركة بما في ذلك على سبيل المثال وليس الحصر، الصلاحيات التالية:
1. تمثيل الشركة في كل أنشطتها التجارية لدى كافة الجهات والكيانات، بما في ذلك على سبيل المثال وليس الحصر: الهيئات الحكومية والهيئات شبه الحكومية والعامة بما في ذلك البلديات والغرف التجارية والسجل التجاري وكافة الدوائر المحلية والاتحادية والمحاكم والهيئات التحكيمية والبنوك وغيرها من الكيانات التجارية ومؤسسات القطاعين العام والخاص والأفراد من أي طبيعة مهما كانت.
2. اتخاذ كافة الإجراءات اللازمة والصحيحة من أجل تسيير وإدارة شئون الشركة وتحديد وتبني وتنفيذ كل السياسات المتعلقة بإدارة الشركة بما في ذلك ممارسة الحق في التوظيف وإنهاء الخدمات وتحديد شروط الخدمة للموظفين الذين يتم تعيينهم في الشركة.
3. فتح وإغلاق وتشغيل الحسابات المصرفية لصالح الشركة وعموماً التعامل مع كافة المعاملات المصرفية.
4. التفاوض وإبرام العقود المتعلقة بأعمال الشركة بما في ذلك تأجير أو شراء أو بيع الموجودات والمعدات والآليات والمركبات والمواد والبضائع والإمدادات والخدمات وغيرها من التسهيلات التي تحتاجها الشركة وتسجيل تلك الموجودات.
5. المطالبة ورفع الدعاوى والاستعادة والاستلام لكافة أنواع البضائع والمنقولات والديون والإيجارات والفوائد والمبالغ المالية والطلبات، من أي نوع كان، المستحقة للشركة أو ستصبح مستحقة أو مدينة أو منسوبة للشركة فيما بعد وعمل وتسليم وتنفيذ الإيصالات والمحررات.
6. عمل وتنفيذ وتصديق وقبول وتسليم كافة الشيكات والسندات والحوالات والإقرارات والاتفاقيات وغيرها من السندات الخطية ،من أي طبيعة كانت، بالوكالة والنيابة عن الشركة.
7. اتخاذ كافة الخطوات اللازمة من أجل التنفيذ والوفاء بشروط وأحكام أي اتفاقيات أو عقود أو صكوك أو تنازلات أو رهون أو محررات أو مواثيق أو غيرها من السندات.
8. اتخاذ كافة الإجراءات وعمل كل الأشياء اللازمة من أجل تنفيذ وتحقيق الأهداف الرئيسية للشركة.
9. اتخاذ كافة الإجراءات وعمل كل الأشياء اللازمة من أجل تنفيذ وتحقيق الأهداف الرئيسية للشركة.
10. المثول أمام أي سلطات تسجيل أو غيرها من السلطات مهما كانت، بالوكالة والنيابة عن الشركة وتمثيلها في كل عمليات التسجيل والتوقيع والتنفيذ والقيام بكل الأعمال والسندات والأشياء اللازمة من أجل تأمين تسجيل أي وثيقة أو سند يتعلق بالشركة.
11. تمثيل الشركة لدى كافة المحاكم والهيئات التحكيمية والسلطات الإدارية كمدعي أو مدعى عليه مع كامل الصلاحية في منح الوكالات نيابة عن الشركة للمحامين وإلغائها بما في ذلك الوكالات الممنوحة بموجب المادة 58 من قانون الإجراءات المدنية رقم 11 لسنة 1992م.
12. شراء وبيع وامتلاك الأسهم في كافة أنواع الشركات داخل وخارج دولة الإمارات العربية المتحدة، وفي هذا الصدد توقيع اتفاقيات تحويل الأسهم من وإلى الشركة وتوقيع التعديلات على عقود تأسيس الشركة المعنية واتخاذ كافة الإجراءات اللازمة من أجل تسجيل تلك التحويلات.
13. ندب بعض أو كافة الصلاحيات الممنوحة له بموجبه هذه الشروط والأحكام ومنح الوكالات وإلغائها.
14. شراء وبيع وتأجير أي شاحنات خفيفة /ثقيلة والسيارات والحافلات وغيرها من الموجودات والمركبات التي تحتاجها الشركة للقيام بأنشطتها.
15. وعموماً، عمل وتنفيذ وتوقيع وإكمال كل تلك الأشياء اللازمة والمناسبة التي تتعلق بالحقوق الممنوحة للطرف الثاني بموجبه أو أي منها بالوكالة عن الشركة ونيابة عنها وباسمها ، تماماً كما تقوم بها الشركة بما في ذلك على سبيل المثال وليس الحصر: توقيع أي اتفاقيات خدمات إدارية مع الطرف الثاني أو الجهات التابعة له أو شركائه لكامل مدة الشركة.
3. يتم حذف البند 11 من عقد التأسيس ويتم استبداله بما يلي:
البند 11: الجمعية العمومية:
1. يكون للشركة جمعية عمومية مكونة من كافة الشركاء، وتُعقد بناء على دعوة المدير مرة واحدة على الأقل في كل سنة في التاريخ والمكان اللذين يحددهما المدير خلال الأربعة أشهر التالية لنهاية السنة المالية.
2. تتم الدعوة لحضور الجمعية العمومية بواسطة مجلس الإدارة إذا ُوجد أو عدد من الشركاء الذين يملكون أكثر من ربع رأس مال الشركة، ويتم إرسال الدعوات لحضور الجمعية العمومية بواسطة البريد المسجل بعلم الوصول إلى عنوان كل شريك قبل واحد وعشرين يوماً قبل تاريخ الاجتماع، ويجب أن تحتوي الدعوة على تفاصيل جدول أعمال الاجتماع ومكانه وتاريخه وزمانه.
3. يكون لكل شريك الحق في حضور اجتماع الجمعية العمومية بغض النظر عن عدد الأسهم التي يملكها في الشركة، ويجوز للشريك توكيل شريك آخر من غير أعضاء مجلس الإدارة لتمثيله في اجتماع الجمعية العمومية، ويكون لكل شريك التصويت بعدد أصوات مساوٍ لعدد الأسهم التي يملكها أو يمثلها.
4. يجب أن يشمل جدول أعمال الاجتماع السنوي للجمعية العمومية على الأمور التالية:
أ) تحديد حصة كل شريك في الأرباح التي يتعين توزيعها على الشركاء.
ب) مناقشة الميزانية العامة التي سيتم تبنيها وحساب الأرباح والخسائر.
ج) تعيين المدير وتحديد مكافآت أعضاء مجلس الإدارة.
د) أي أمور أخرى في حدود اختصاص الجمعية العمومية وذلك وفقاً لأحكام قانون الشركات التجارية أو عقد التأسيس هذا.
5. لا يجوز للجمعية العمومية تداول أمور غير واردة في جدول أعمالها ما لم يتم الكشف في الاجتماع عن أمور مهمة تحتاج إلى مناقشة ، وإذا طلب أحد الشركاء إدراج أمر معين في جدول الأعمال، فيجب على المدير إجابة طلب ذلك الشريك وإلا يكون للشريك الحق في الاستئناف لدى الجمعية العمومية.
6. يكون لكلك شريك الحق في مناقشة الأمور الواردة في جدول الأعمال والمدير ملزم بالإجابة على كافة أسئلة الشركاء، شريطة ألا تتضمن ذلك ضرراً على مصالح الشركة، وإذا اعتبر أحد الشركاء أن إجابات المدير غير كافية فيجوز له الاستئناف لدى الجمعية العمومية التي سيكون قرارها ملزماً في هذا الشأن.
7. لا يكون قرار الجمعية العمومية صالحاً إلا إذا تم إجازته من قبل عدد من الشركاء يمثلون على الأقل (75%) من رأس مال الشركة، وإذا لم يتم التوصل لهذه الأغلبية في الاجتماع الأول، فيجب عقد اجتماع ثانٍ خلال واحد وعشرين يوماً بعد الاجتماع الأول الذي يتم إجازة القرارات فيه بنفس النسبة السابقة للشركاء.
8. لا يجوز للمدير المشاركة في التصويت على القرارات المتعلقة بإعفائه من مسئولياته الإدارية.
9. يجب إعداد محضر لاجتماع الجمعية العمومية يلخص بدقة الأمور التي تمت مناقشتها فيه، ويجب تدوين المحضر وقرارات الجمعية العمومية في سجل خاص يتم الاحتفاظ به في المكتب الرئيسي للشركة. يجوز لأي شريك الإطلاع على ذلك السجل بنفسه أو عبر وكيل من جانبه، كما يجوز للشركاء الإطلاع على الميزانية العمومية للشركة وحساب الأرباح والخسائر والتقرير السنوي للشركة.
10. بدون المساس بحقوق الغير وتطبيقاً لمبدأ حسن النوايا، فإن القرارات التي تتم إجازتها في الجمعية العمومية في مخالفة صريحة لأحكام قانون الشركات التجارية أو عقد التأسيس هذا والتي تحقق النفع لبعض الشركاء والضرر للبعض الآخر بدون الاعتبار اللازم للشركة، ستكون ملغية وكأنها والعدم سواء، وفي مثل تلك الحالات فإن الشركاء فقط الذين عارضوا إجازة القرارات المذكورة أو أولئك الذين كانوا غير قادرين على معارضتها لأسباب معقولة، يجوز لهم المطالبة بإلغاء تلك القرارات، وعند إصدار قار بإلغائها فإنها تعتبر ملغية لكل الشركاء.
4. يتم حذف البند 12 من عقد التأسيس ويستبدل بما يلي:
البند 12: الضمانات
إذا قدم أحد الشركاء أو أحد أعضاء مجلس الإدارة ضمانات إلى البنوك أو الدائنين أو المؤسسات المالية فيما يتعلق بتسهيلات العمل التجاري/الائتمان التي تحتاجها الشركة، فيكون ذلك الشريك أو عضو مجلس الإدارة مخولاً بالحصول على عمولات تلك الضمانات وفقاً لما يتم اعتماده بواسطة قرارات أعضاء مجلس الإدارة.
5. يتم حذف البند 21 من عقد التأسيس ويستبدل بما يلي:

21-1 لا يتم اعتبار الشركة كشخصية اعتبارية ولا يسمح لها بمزاولة أنشطتها التجارية حتى يتم تسجيلها في السجل التجاري، ويكون الأشخاص مسئولين بالتضامن عن كل الأعمال أو المعاملات التي يقومون بإنجازها نيابة عن الشركة قبل تسجيلها.
21-2 تخضع الأمور الغير واردة في عقد التأسيس هذا لأحكام قانون الشركات التجارية وتعديلاته والقرارات الوزارية الصادرة بخصوص تنفيذ ذلك القانون.
21-3 يتم كتابة عقد التأسيس هذا وأي تعديلات عليه باللغة العربية ويتم تصديقه لدى السلطة المختصة وإلا سيعتبر هذا العقد أو أي تعديل عليه لاغياً وهو والعدم سواء، وإذا تم إجراء أي تعديلات على هذه المستندات فيجب إرفاقها بها.
6. يتم حذف البند 22 ويستبدل بما يلي:
تُحكم أي نزاعات أو دعاوى تنشأ من أو تتعلق بالموضوع الأساسي لعقد التأسيس هذا_ (بما في ذلك المنازعات أو الدعاوى غير التعاقدية) _ وتُفسر وفقاً لقوانين مركز دبي المالي العالمي ("دي آي اف سي").
يوافق الطرفان بصورة نهائية غير قابلة للرجوع أوالعدول عنها على أن محاكم مركز دبي المالي العالمي لها الاختصاص القضائي الحصري في تسوية المنازعات أو الدعاوى الناشئة من أو المتعلقة بعقد التأسيس هذا، بما في ذلك ما يتعلق بإنفاذ هذه الأحكام (بما في ذلك المنازعات أو الدعاوى غير التعاقدية).
7. يتم إضافة البند الجديد (24) لعقد التأسيس كما يلي:
البند (24): عدم التعويض:
لا يجوز للطرف الأول، بصورة مباشرة أو غير مباشرة، عبر أي شركاء إنشاء أي أعمال تجارية أخرى في أي من أقطار مجلس التعاون الخليجي لتكون منافسة للخدمات المقدمة من قبل الشركة خلال فترة هذه الاتفاقية أو عشرة (10) سنوات بعد إنهاء أو انتهاء هذه الاتفاقية، ولكن يكون للطرف الثاني الحق في إنشاء أعمال تجارية مشابهة في إ.ع.م أو أي بلد آخر بما في ذلك دول مجلس التعاون الخليجي من أجل تقديم خدمات مشابهة أو غير مشابهة في أي مكان آخر سواء كان ذلك بصورة مباشرة أو غير مباشرة خلال فترة هذه الاتفاقية أو بعد ذلك.
8. يتم إضافة البند الجديد (25) لعقد التأسيس كما يلي:
البند 25: حقوق الملكية الفكرية:
تخص العلامة التجارية (.... ) شركة فوربيس لاين، ويجوز للطرف الثاني بصورة مباشرة أو غير مباشرة، الحصول على الترخيص اللازم من أجل استخدام هذه العلامة التجارية وله الحق في الاستفادة من العلامة التجارية أو الاسم التجاري للشركة وله الحق في الاستفادة من الأعمال التجارية للشركة. ليس للطرف الأول الحق في المطالبة بأي حقوق مهما كانت على تلك العلامة التجارية أو الاسم التجاري أو الماركة التجارية أو أي حق من حقوق الملكية الفكرية التي يملكها الطرف الثاني مباشرة أو عن طريق ترخيص من أي طرف ثالث. اتفق الطرفان على أن كافة الخدمات المقدمة من قبل الشركة يجب أن تحمل فقط العلامة التجارية التي يقترحها الطرف الثاني بناءً على مطلق اختياره، ولا يجوز للطرف الأول عمل محاولات من أي نوع كانت، بصورة مباشرة أو غير مباشرة، لاستخدام العلامة التجارية أو السماح لأي أحد باستخدامها أو استخدام أي ملكية فكرية يملكها الطرف الثاني أو تم الترتيب لاستخدامها بواسطة الطرف الثاني بموجب ترخيص أو غير ذلك. لا يجوز للطرف الأول تسجيل أو التسبب في تسجيل أي من حقوق الملكية الفكرية المذكورة أعلاه باسمه أو اسم الغير في أي بلد من بلدان العالم، وإذا أصبح الطرف الثاني لا يملك أي أسهم في الشركة، فيجب على الطرف الأول التوقف فوراً عن استخدام العلامة التجارية أو الاسم التجاري أو أي من حقوق الملكية الفكرية المتعلقة بالشركة وذلك خلال 30 يوماً من توقف الطرف الثاني عن كونه مساهماً في الشركة.
9. تبقى بنود عقد التأسيس الأخرى بدون تعديل وتكون في كامل القوة والأثر.
إشهاداً على ما تقدم فقد قام طرفا هذا العقد بالتسبب في توقيع هذه الاتفاقية في اليوم والسنة المذكورين في صدر هذا المستند.

I, the undersigned/Marglin San Gibreel Herera, a Philipino national, holding passport No. (EB5610551), hereby appoint my sister Mrs. Margin San Gibreel Herera, a Philipino national, to be my real and legal attorney to represent me and act on belalf of me regarding my involovement as a partner in a limited liability company, to change the individual establishments to limited liability companies with any person/s and to involve me as a partner therein or in any license existing within U.A.E, to sign all types of sale and partnership contracts, to meet the required number of my shares in capital, to publicize such shares before all competent authorities and register the same at Trade Register and Chamber of Commerce & Industry, to obtain and receive licenses, to finalize the procedures of issuing the cards of the establishment before Ministry of Labour& Social Affairs and Department of Naturalization & Residency. My attorney has the right of disposing some of or all my shares in the company on her own discretion by all aspects of disposition, sale, assignment and other legal aspects of disposition and sale to self or to third parties, to sign contracts and addendums in this regard and to attest the same including the contracts of share sale, waiver and involvement of partners.
