Source text - Italian 7.3 Indennizzo: fermi restando i diversi rimedi previsti ex lege, la Cedente si obbliga a mantener indenne, risarcire e manlevare la Cessionaria da e contro ogni costo, perdita, danno (inclusi, a titolo esemplificativo, gli interessi di mora maturati sui Crediti) o spesa (incluse le spese legali ragionevolmente sostenute) che la Cessionaria sostenga o subisca in conseguenza della non veridicità o dell'inesattezza di una o più delle dichiarazioni e garanzie di cui alla Clausola 7.1.
Tuttavia, le Parti convengono che gli indennizzi e risarcimenti eventualmente dovuti alla Cessionaria ai sensi della presente Clausola a fronte di richieste di indennizzo o risarcimento presentate alla Cedente con riferimento ai Crediti entro la Data di Notifica saranno limitati all'importo in linea capitale del/i Credito/i in questione oltre alle spese (incluse le spese legali ragionevolmente sostenute) che la Cessionaria sostenga o subisca in conseguenza della non veridicità o dell'inesattezza delle dichiarazioni e garanzie di riferimento.

Resta inteso che la Cedente sarà tenuta a pagare gli indennizzi ed i risarcimenti eventualmente dovuti ai sensi della Clausola 7.3 anche dopo che siano trascorsi i termini di durata previsti nella presente Clausola qualora la relativa richiesta di indennizzo o risarcimento: (a) sia stata presentata entro i termini di durata di cui alla presente Clausola, e (b) sia debitamente dettagliata e basata su fatti e circostanze precisi, che possano dar luogo al diritto al risarcimento o indennizzo (ancorchè quest'ultimo non sia ancora maturato o non sia stato ancora quantificato).
7.5 Termini di pagamento dell'indennizzo: il pagamento dei risarcimenti e degli indennizzi di cui alla Clausola 7.3 sarà dovuto entro 15 (quindici) giorni lavorativi dalla data della loro richiesta scritta. Ove tale richiesta venga in tutto o in parte motivatamente contestata per iscritto entro il termine di 15 (quindici) giorni lavorativi, le Parti tenteranno in buona fede di trovare un accordo in ordine alla richiesta di indennizzo o risarcimento nei successivi 15 (quindici) giorni lavorativi. In assenza di tale accordo ciascuna delle Parti sarà legittimata ad adire la procedura arbitrale di cui alla Clausola 11.6. In tale ipotesi, l'indennizzo o risarcimento dovrà essere corrisposto entro 15 (quindici) giorni lavorativi dall'avvenuto accordo delle Parti o dalla comunicazione del lodo.
Translation - English 7.3 Indemnity: Without prejudice to the various remedies under the law, Assignor undertakes to indemnify, compensate and release Assignee against, for and from any costs, losses, damages (including, without limitation, arrears interest accrued on the Receivables) or expenses (including reasonably incurred legal fees) that Assignee incurs or bears as a consequence of the untruthfulness or inaccuracy of one or more of the representations and warranties set forth in Clause 7.1.
However, the Parties agree that any indemnities and compensation owed to Assignee under this Clause in connection with indemnity claims submitted to Assignor in connection with the Receivables by the Notice Date shall be limited to the amount of the principal of the Receivable(s) in question, in addition to any expenses (including reasonably incurred legal fees) that Assignee incurs or bears as a consequence of the untruthfulness or inaccuracy of the relevant representations and warranties.
7.4 Term: The representations and warranties set forth in Clause 8.1 shall remain valid and effective until such time as all of the Receivables have been extinguished or redeemed. It is understood that Assignor shall be required to pay any indemnities and compensation owed under Clause 7.3 even after the term of duration established in this Clause has lapsed if the relative claim for indemnity or compensation: (a) was submitted within the term of duration set forth in this Clause, and (b) is sufficiently detailed and founded on precise facts and circumstances that may give rise to the right to compensation or indemnity (regardless of whether said indemnity or compensation has come due or been quantified).
7.5 Terms of payment of indemnity: Payment of the compensation and indemnities set forth in Clause 7.3 shall be due within fifteen (15) business days of the date of the written claim to this effect. If all or part of said claim is disputed by well-founded written notice within the term of fifteen (15) business days, the Parties shall make a good-faith attempt to reach an agreement as to the claim for indemnity or compensation within the following fifteen (15) business days. If such an agreement is not reached, both Parties shall be entitled to initiate the arbitration procedure set forth in Clause 11.6. In this case, the indemnity or compensation must be paid within fifteen (15) business days of the date on which the Parties reach an agreement or notice of the arbitration award is served.
