3.4 The Products shall be delivered EX WORKS (INCOTERMS 2010) the production facility of NEWCO or its contracted third party, with title to and risk of loss passing to DISTRIBUTOR upon loading of the Products at such facility.
Still needs confirmation as to current practice.

We might use *language that says it is in Enclosure 1*, if it varies by market.

3.5 In the event that NEWCO shall cease to own, manufacture, or sell any one or more of the Products, then the relevant Products shall be deemed deleted from Enclosure 1 hereto and shall no longer be subject to the terms and conditions of this Agreement and this Agreement shall be automatically amended provided that nothing in this clause shall effect any antecedent rights which either Party may have in relation to such deleted Products.
