3.5 In the event that NEWCO shall cease to own, manufacture, or sell any one or more of the Products, then the relevant Products shall be deemed deleted from Enclosure 1 hereto and shall no longer be subject to the terms and conditions of this Agreement and this Agreement shall be automatically amended provided that nothing in this clause shall effect any antecedent rights which either Party may have in relation to such deleted Products.

The Parties agree to meet and prepare during the last quarter of each year the Business Plan and the *volume objectives applicable* for the following year unless this Agreement is terminating.
Upon termination of this Agreement, DISTRIBUTOR shall pay NEWCO the surplus rollover amount, if any.
