POWER OF ATTORNEY

1) To open a representative office of the Company in Arezzo (“the office”), with full powers and authorities to manage the Company’s business and affairs in Italy.
2) To represent the company before any Italian administrative authority at any stage and degree, including the power to file applications, to require authorizations and licenses, to appeal against the decisions of the administrative authorities.
3) To enter into agreements with telephone, telex, water and electric power companies, etc., to ensure the related supplies to the office.
4) To appoint lawyers, consultants and attorneys for the defense of the corporate interests and rights.
The Company grants to its Attorney full powers and authority to do and perform all and every act and thing whatsoever requisite, necessary and proper to be done in the exercise of any of the rights and powers herein granted, as fully to all intents and purposes as it might or could do if personally present, with full powers of substitution or revocation, hereby ratifying and confirming all that the Attorney, or its substitutes, shall lawfully do or cause to be done by virtue of this power of attorney and the rights and powers herein granted.

La Società concede al suo procuratore legale pieni poteri ad agire al fine di rendere esecutiva qualsivoglia azione legale, requisito necessario e pertinente a poter svolgere pienamente, a tutti gli effetti, l’esercizio di un qualsiasi potere e diritto concesso attraverso la presente scrittura, come avrebbe potuto svolgere se fosse stata realmente presente.
